These Youshare Disclaimers ("Disclaimers") summarize important limits and risks associated with the Platform provided by Youshare, Inc., doing business as Youshare ("Youshare"). They supplement the Youshare Terms. Acceptance and contractual effect are governed by the Youshare Terms and any notice presented for the applicable activity. Capitalized terms not defined here have the meanings in the Youshare Terms or the Youshare document governing the subject. "Personal Information" has the meaning in Youshare Privacy.

1. Scope and Use

These Disclaimers apply throughout the Platform, including Explore and other Platform Components, public and private Platform areas, Content, Listings, Offerings, communications, and Transactions.

Risks vary by the Content, Account, Merchant, Offering, Platform Component, external provider, location, Transaction, and activity. These Disclaimers identify important general risks but cannot identify every circumstance or replace the complete current Listing, Transaction disclosure, safety information, professional advice, or other terms applicable to a particular decision.

Users should exercise independent judgment, review material information in its full context, and take precautions appropriate to the activity.

2. Content, Media, and Previews

Materials available through the Platform may include Content from users and Merchants, information from external providers or public sources, and Youshare-created material. Except where Youshare expressly states otherwise, Youshare does not create, inspect, authenticate, or verify every user- or third-party-supplied item before it appears. Hosting, formatting, processing, indexing, labeling, or distributing an item does not by itself mean Youshare verified it.

Content and media may be inaccurate, incomplete, outdated, misleading, disputed, altered, generated, staged, compressed, or supplied without sufficient rights. Media may not accurately depict current condition, scale, color, defects, accessibility, location, authenticity, or everything included in an Offering. A File may present compatibility, licensing, availability, or security risks.

A Social Card, search result, feed item, embedded Widget, notification, or other preview may omit qualifications, restrictions, fees, availability, safety information, updates, or Transaction terms. Review the complete current Listing or other applicable Platform record and terms before relying on a preview.

3. Public Content and External Copies

Content made public may be visible without an Account and may appear through Explore, search engines, links, Social Cards, feeds, Widgets, Integrations, and other public surfaces. Other people or services may copy, quote, download, cache, archive, embed, share, or republish it outside Youshare's control.

Changing visibility settings or deleting Content from Youshare may not remove copies already received, indexed, cached, downloaded, shared, archived, or independently retained. This does not limit a removal or deletion duty applicable law assigns to Youshare. Submitters are responsible for deciding what to make public and for having the rights and authority needed to publish it. Youshare Privacy governs Youshare's processing and retention of Personal Information.

4. Youshare's Role and Merchant Activity

Youshare provides technology for Accounts, Content, discovery, communications, Platform Components, Listings, and supported Transactions. The Merchant remains responsible for providing and fulfilling its underlying Offering. The Youshare Payments Policy and applicable Transaction disclosures govern the parties' payment roles.

Youshare's payment, Resolution, refund, or Protection role does not transfer the Merchant's fulfillment or performance obligations to Youshare.

The Merchant remains responsible for its Content, Listings, Offerings, authority, legality, accuracy, licensing, safety, condition, availability, pricing, disclosures, fulfillment, warranties, customer support, refunds, taxes, customer information, and other obligations assigned to its actual role. A Merchant's policy or representation does not bind Youshare unless Youshare expressly accepts it through an authorized process.

5. Verification, Ratings, Reviews, and Moderation

Verification is limited to the selected information, source, time, and scope identified for the process and may later become outdated. Unless expressly stated, Verification is not a comprehensive background check or an assurance of identity, age, authority, ownership, qualifications, licensing, insurance, legality, safety, financial condition, or future conduct.

Ratings, labels, warnings, and age or access treatment classify or provide context for eligible public or publishable Content. They do not guarantee accuracy, legality, safety, suitability for every person, or successful exclusion of every unauthorized viewer. Youshare Ratings governs their meaning and scope.

Reviews, reactions, follower counts, transaction counts, badges, and other social signals reflect limited information. They may be subjective, disputed, incomplete, outdated, incentivized, manipulated, fraudulent, or affected by moderation. They do not guarantee future conduct, quality, safety, or outcome.

Verification, a Rating, a review, featuring, advertising, program participation, prior availability, or the absence of prior action does not by itself constitute Youshare's endorsement, warranty, certification, or approval. Youshare may moderate activity but does not undertake to review every Account, Content item, communication, Listing, Offering, or Transaction or guarantee detection of every violation. A report, support request, or Resolution submission does not guarantee review, action, outcome, remedy, response time, or disclosure, except where law or an express Youshare term requires otherwise.

6. Search, Recommendations, Advertising, and Displays

Search results, feeds, recommendations, and rankings may be automated, personalized, delayed, incomplete, or changed. They may omit relevant Content, include stale information, differ among users, or reflect paid or sponsored placement. Analytics, estimates, and other Platform displays may be sampled, rounded, delayed, or later corrected.

Placement, ranking, featuring, or advertising does not guarantee an Offering's quality, legality, availability, authenticity, or suitability. Youshare does not guarantee any Account, Merchant, Listing, advertisement, or Content a particular audience, ranking, traffic level, view count, lead, sale, conversion, revenue, or other result. Advertisers and Merchants remain responsible for their claims and legally required disclosures. A qualification, sponsorship disclosure, or other notice required to prevent a claim from being misleading must appear where applicable law requires and is not supplied solely by these Disclaimers.

7. Offerings, Transactions, and In-Person Activity

Offerings and Transactions may involve physical, digital, financial, legal, health, property, employment, transportation, privacy, security, or safety consequences. Unless Youshare expressly states otherwise, Youshare does not inspect every Offering, File, property, vehicle, location, or condition; supervise every service, event, meeting, delivery, or activity; or guarantee qualifications, title, authenticity, compatibility, legality, safety, performance, or results.

Before acting, users should review the responsible party, complete current Listing, total price and charges, material terms, restrictions, warnings, condition, qualifications, licensing, location, timing, fulfillment, warranty, cancellation, and refund information that matters to the decision. Users should independently verify material facts and use inspections, records, qualified professionals, or reasonable safety precautions when appropriate.

Contributions and fundraising may involve changed circumstances or misuse and are not necessarily charitable or tax-deductible. Refund eligibility is governed by applicable law and the applicable Transaction terms. Contributors should review the organizer, beneficiary, purpose, material terms, fees, and available information before contributing. Youshare does not guarantee that a fundraising objective will be achieved or that another party will perform as represented.

Location, map, route, schedule, and boundary information may be approximate, incomplete, or delayed and should not be used alone for emergency response, hazardous navigation, or determining legal boundaries. Moving an arrangement, communication, or payment outside supported Platform processes may reduce available Platform records, safeguards, support, or Resolution options.

8. Platform Components and External Providers

A Platform Component or related service may be provided by Youshare or an external provider. Payment Processors, Integrations, links, websites, mapping, communications, shipping, identity, storage, and other external services may have separate terms, privacy notices, fees, eligibility rules, and security practices.

Youshare does not control or guarantee every independently provided service or its content, decisions, availability, accuracy, security, legality, performance, or continued compatibility. Connecting to, linking to, or making an external provider available does not by itself constitute an endorsement. Users should review the provider's applicable terms and notices.

9. Professional Information and Emergencies

Content concerning legal, medical, financial, tax, accounting, investment, insurance, employment, engineering, safety, or other professional subjects is not automatically professional advice from Youshare. Displaying professional subject matter or a professional Listing does not create a professional-client relationship with Youshare. A user or Merchant providing professional services remains responsible for its qualifications, advice, disclosures, standards, and legal duties. Users should consult an appropriately qualified professional when a decision depends on professional advice.

Youshare is not an emergency-response service. Messages, maps, location information, reports, moderation tools, support requests, and notifications should not be relied upon for urgent medical, safety, fire, crime, rescue, or other emergency assistance. In an emergency, contact the appropriate local emergency service or authority directly.

10. Availability, Communications, Security, and Records

The Platform and its Components may experience maintenance, delays, errors, outages, incompatibilities, capacity limits, or changes. A feature, URL, Content item, File, record, link, Integration, or external service may be restricted, changed, replaced, or discontinued as permitted by applicable terms and law.

Messages, alerts, receipts, and notifications may be delayed, filtered, blocked, duplicated, routed incorrectly, or not received. Users should not rely exclusively on a Platform communication to satisfy a legal, payment, cancellation, filing, attendance, delivery, or safety deadline.

No online service, transmission method, storage system, device, or authentication process is completely secure. Users are responsible for protecting their credentials, devices, recovery methods, and authorized access and for promptly reporting suspected unauthorized activity. This does not reduce any security, confidentiality, or notification duty applicable law assigns to Youshare.

Platform storage should not be treated as the only backup for important Content, Files, or records. Users and Merchants should retain independent copies of information they need for legal, tax, Transaction, safety, or operational purposes. Deletion, Account closure, provider action, or discontinuation may affect access or recovery. Youshare Privacy governs Youshare's retention, deletion, backups, legal holds, and lawful preservation of Personal Information.

11. Mandatory Rights and Youshare's Direct Responsibilities

These Disclaimers provide risk information and do not create or expand a warranty, duty, remedy, liability, or obligation except as applicable law or an express Youshare term provides. Nothing in these Disclaimers excludes, limits, or transfers a duty, liability, right, or remedy where applicable law prohibits doing so. Youshare remains responsible for its own express commitments, direct services, legally actionable conduct, and duties applicable law assigns directly to Youshare based on its actual role.

Nonwaivable consumer, warranty, cancellation, refund, recall, product-safety, privacy, confidentiality, security, payment, personal-injury, and other rights and remedies remain unaffected. Where Youshare expressly assumes a direct role for an Offering, Transaction, Platform Component, or service, the applicable Youshare terms, Transaction disclosures, express commitments, and law determine its responsibilities.

12. Relationship to Other Youshare Terms

Mandatory applicable law controls first. These Disclaimers supplement the Youshare Terms and summarize Platform risks within their stated scope. The Youshare Terms govern the contractual relationship and contain the operative warranty disclaimers and liability limitations in Sections 19 and 20.

Youshare Privacy governs Youshare's processing of Personal Information. Other applicable Youshare documents, Platform Component terms, and Transaction terms govern their stated subjects.

Subject to mandatory law and any provision of the Youshare Terms expressly stated to control Platform-wide, a more specific Youshare document controls only the subject it expressly addresses, and these Disclaimers continue to provide supplemental risk information within their stated scope. No Merchant policy, external-provider term, private agreement, or user instruction may authorize prohibited activity, reduce a mandatory right, impose an unsupported obligation on Youshare, or override controlling Youshare requirements.
