Version: 1.0

These Youshare Terms ("Terms") are a legally binding agreement between you and Youshare, Inc., doing business as Youshare ("Youshare," "we," "us," or "our"). They govern your access to and use of Youshare.com and the Youshare Platform when you accept them as described below.

You agree to these Terms by selecting an acceptance control that clearly states your selection signifies agreement. You also agree when Youshare presents another action with clear notice that completing it signifies agreement and you complete that action. If you act for an organization, you represent that you have authority to bind it, and "you" includes that organization where applicable. If you do not agree, do not create or use an Account or any function that requires acceptance of these Terms.

These Terms contain an individual arbitration agreement, a class-action waiver, and a jury-trial waiver in Section 23. Except for the limited exceptions stated there, you and Youshare agree to resolve disputes through individual arbitration rather than in court. You may opt out within 30 days by following the instructions in Section 23. Please read that Section carefully.

1. The Platform and Key Terms

"Platform" means Youshare.com and other Youshare-owned or operated services that link to or incorporate these Terms, together with their supported Platform areas, Accounts, Catalog, Platform Components, Content, Listings, Platform records, Transactions, and related services. Explore is a public-facing Container within Youshare.com that displays eligible public material through discovery tools. Explore is not the entire Platform.

Youshare's Platform Components are Containers, Apps, Extensions, Widgets, and Integrations. Containers organize related Apps or Platform areas. Apps provide specific tools or experiences. Extensions add or modify compatible behavior. Widgets provide page-bound or embeddable interfaces. Integrations connect the Platform with supported external services.

An "Account" is a registered Person Account or Organization Account. An "Explorer" is an Account acting as a customer, buyer, contributor, applicant, attendee, viewer, or other non-Merchant participant. A "Merchant" is an Account offering paid or Merchant-related Content, Listings, Offerings, Apps, fundraising, advertising, or other supported activity. Explorer and Merchant are activity-based roles, not Account Types. The same Account may act in different roles in different activities.

The "Catalog" is the Platform's organized collection of supported public or publishable Accounts, Platform Components, Listings, and other Platform records.

"Content" means material a user submits, publishes, sends, stores, or otherwise makes available through the Platform. A "Listing" is an eligible public or publishable record created through a supported process. An "Offering" is a product, service, opportunity, activity, license, access arrangement, fundraiser, or other supported matter offered through the Platform. A "Transaction" is a supported purchase, sale, payment, contribution, booking, subscription, license, refund, or other exchange.

"Files" means Content stored or transmitted through a file-storage, attachment, or similar Platform function. "User Data" means nonpublic information or records associated with a user, Account, or authorized use of the Platform. A "Social Card" is a supported preview or share card representing Content or another Platform record.

An "Order" is a request submitted through supported Platform functionality to enter a Transaction for an Offering. A "Resolution" is a supported process or Platform record through which Youshare may receive, document, facilitate, review, or administer a request or dispute concerning Platform activity.

"Payment Method," "Payment Processor," "Platform Charge," and "Payout" have the meanings in the Youshare Payments Policy. "Youshare documents" means these Terms and the versions of Youshare supplemental terms, policies, notices, guidelines, and disclosures validly presented to or incorporated for the applicable activity at the relevant time. A "Platform-wide Youshare document" is a Youshare document that expressly states it governs the Platform generally.

“Payout” means an external disbursement of a Merchant Amount by a Payment Processor to a Merchant’s eligible payout destination.

2. Eligibility, Age, and Authority

You must be at least 13 years old to create or use an Account. A person under 13 may not create or use an Account. A person must be at least 18 years old and have contractual capacity to act as or for a Merchant, receive a Payout, submit an Order, or make a payment. Certain Content, Offerings, Verification processes, or other features may impose additional legal or Platform requirements. Access to Content labeled for an audience under 13 does not change the Account age requirement.

You may use only those parts of the Platform for which you satisfy all applicable age, location, legal, payment, Verification, and eligibility requirements. You represent that the information you provide about your identity, age, authority, and eligibility is accurate and that applicable law does not prohibit your use.

A Person Account represents one individual. An Organization Account represents a company, group, business, nonprofit, school, agency, team, government body, or other organized entity. A person creating or managing an Organization Account represents that the person is authorized to act for that organization. Account permissions and administrative User Roles do not change the Account Type.

3. Accounts and Security

You must provide accurate, current, and complete Account information and keep it reasonably current. You are responsible for safeguarding credentials, recovery methods, and devices, limiting access to authorized people, and promptly reporting suspected unauthorized access. You are responsible for activity you authorize or permit through your Account, subject to nonwaivable rights concerning unauthorized payments or access.

You may not sell, rent, transfer, or assign an Account without Youshare's written permission, or use any Account to evade a restriction, fee, eligibility rule, or enforcement action. An organization is responsible for activity by people it authorizes to use its Account. Youshare may require authentication or Verification reasonably related to Account access or Platform activity.

4. Limited License and Platform Components

Subject to these Terms, Youshare grants you a limited, revocable, nonexclusive, nontransferable, and nonsublicensable license to access and use available Platform functions for their intended purposes. Except where applicable law prohibits the restriction or Youshare gives written permission, you may not copy or commercially exploit Youshare software, reverse engineer it, bypass access or security controls, use unauthorized automated access or extraction, interfere with the Platform, or misuse Youshare branding.

A Platform Component may be offered by Youshare or another provider and may require additional terms, permissions, fees, eligibility, or Verification. Youshare may install, connect, configure, update, restrict, replace, suspend, remove, or discontinue a Platform Component or change where and how compatible Platform records appear. Availability may vary by Account, role, location, plan, device, Transaction, Verification status, or other supported condition.

5. Your Content and Responsibilities

As between you and Youshare, you retain ownership of your original Content. You are responsible for your Content and represent that you have all rights, permissions, releases, and authority needed for Youshare and authorized recipients to use it as described in these Terms. Your Content and its submission, classification, display, sale, delivery, and use must be lawful, accurate where accuracy is material, and consistent with applicable disclosures, agreements, and Youshare documents.

Public availability elsewhere does not by itself authorize you to copy, upload, sell, license, or distribute material. You are responsible for reviewing Content and Files before submission and for avoiding unauthorized personal, confidential, or restricted information.

6. Licenses You Grant to Youshare

For Content you make public or publishable, you grant Youshare a worldwide, nonexclusive, royalty-free, and sublicensable license to host, store, reproduce, process, format, adapt for technical or display purposes, transmit, display, perform, distribute, and promote that Content as reasonably necessary to operate, provide, secure, improve, and promote the Platform and the Content's authorized availability. This includes creating previews and technical copies, displaying attribution, enabling search, feeds, sharing, embeds, and compatible Platform Components, completing Transactions, and using service providers for those purposes. Youshare may sublicense these rights only to service providers, authorized recipients, and other parties reasonably needed for those purposes.

For private or limited-access Content, communications, Files, and User Data, you authorize Youshare to host, store, reproduce, process, transmit, and disclose them only as reasonably necessary to provide the requested function, deliver them to authorized recipients, complete Transactions, provide support, maintain security, enforce applicable rules, comply with law, or evaluate or complete an actual or proposed corporate transaction as described in Youshare Privacy. This authorization does not permit Youshare to use private communications as public promotional Content unless you direct or separately authorize that use.

These licenses continue while the relevant Content remains available and afterward only to the extent reasonably necessary for completed or pending Transactions, authorized recipients' copies, technical continuity, security, enforcement, legal compliance, and lawful records. Removing Content may not remove copies already shared, downloaded, cached, archived, or independently retained by others. If you provide feedback about Youshare, you authorize Youshare to use it without payment or restriction, except for information Youshare expressly agrees in writing to treat as confidential.

7. Additional Terms and Policies

You must use the Platform lawfully and comply with the Youshare Acceptable Use Policy, Youshare Guidelines, and Youshare Ratings. You remain responsible for your Account, Content, conduct, communications, Offerings, and Transactions.

The Youshare Merchant Terms, Youshare Payments Policy, Youshare Refund Policy, Youshare Merchant Payment Fees and Transfer Schedule, Youshare Buyer and Seller Protection Policy, Youshare Prohibited and Restricted Listings and Activities Policy, Youshare Disclaimers, Youshare Intellectual Property Policy, Youshare Safe Harbor and Repeat Infringers Policy, and Youshare Legal Requests Policy govern their stated subjects when applicable. Youshare Privacy is a privacy notice and is addressed in the Privacy section.

The Youshare Controlled Substances Policy provides public information about Youshare’s related policies and practices. The related user rules are contained in the Youshare Prohibited and Restricted Listings and Activities Policy. The Youshare Controlled Substances Policy is not incorporated into these Terms solely by this reference.

An App-specific prohibited-products or prohibited-services policy governs only the applicable App or activity when validly presented to or incorporated for that activity. Other supplemental terms, notices, policies, or Transaction disclosures apply only when validly presented to or incorporated for the applicable activity.

8. Merchants, Listings, and Transactions

A Merchant is responsible for its Content, Listings, Offerings, representations, prices, material disclosures, legal authority, licenses, safety, quality, availability, fulfillment, delivery, customer service, warranties, taxes, records, customer information, refunds, and other obligations. The Youshare Merchant Terms and applicable supplemental documents govern Merchant activity. A Merchant policy may add lawful terms but may not override applicable law, Youshare documents, Payment Processor requirements, or Transaction disclosures, or retroactively reduce rights applying to an existing Order.

Unless an applicable Transaction disclosure states otherwise, the Merchant provides and fulfills the underlying Offering and remains responsible for it. The Youshare Payments Policy and applicable Transaction disclosures govern any Platform Charge and the parties' payment roles.

Submitting an Order, authorizing payment, or receiving an automated acknowledgment or receipt does not by itself mean the Order has been accepted. Acceptance occurs only through the express confirmation or other Transaction workflow identified for the applicable Offering. Upon acceptance, the price and material terms presented before submission become binding, subject to applicable law and any lawful correction or cancellation right disclosed before submission. Each user is responsible for reviewing the material terms presented before submitting an Order.

9. Youshare's Role

Youshare provides technology for social activity, discovery, communications, Account management, Platform Components, and supported Transactions. Unless Youshare expressly identifies itself as the contracting provider for a particular activity, Youshare is not the underlying seller or provider of a user's Offering and is not a party to every agreement between users.

Displaying, organizing, ranking, recommending, advertising, reviewing, moderating, rating, verifying, or supporting an Account, Listing, Offering, Platform Component, or Transaction does not by itself constitute Youshare's endorsement, inspection, certification, warranty, or guarantee. Youshare remains responsible for its own express commitments, direct services, legally actionable conduct, and duties that applicable law assigns to Youshare.

10. Payments, Fees, Subscriptions, Taxes, and Refunds

Payment and payout functions are governed by the Youshare Payments Policy, applicable Transaction disclosures, and any Payment Processor terms presented to you. When you affirmatively submit a charge after its material terms are presented, you authorize the amount and Payment Method shown. A later charge requires a separate authorization or a recurring authorization you already provided. Youshare may use one or more Payment Processors and does not promise that any particular provider or payment function will remain available.

The price, fees, billing frequency, renewal terms, cancellation method, and other material payment terms presented when you authorize a charge or enroll in a plan govern that authorization. Recurring programs are subject to applicable disclosure, affirmative-consent, acknowledgment, and cancellation requirements at enrollment. Each party remains responsible for tax duties assigned to it by law, and nothing in these Terms transfers a duty that applicable law places on Youshare.

Refunds, returns, cancellations, reversals, and chargebacks are governed by applicable law, the Youshare Refund Policy, the Merchant policy and Transaction disclosures shown when the Order was submitted, and applicable payment-method rules. A report, moderation action, or Account restriction does not independently establish refund eligibility. A person may not obtain duplicate recovery for the same loss. Mandatory consumer and payment rights remain unaffected.

11. Verification, Ratings, Reviews, and Platform Signals

Verification, audience Ratings, reviews, labels, badges, reports, rankings, recommendations, counts, search placement, and other Platform signals may be limited, contextual, incomplete, changed, restricted, or removed. They are not guarantees, warranties, endorsements, permanent approvals, or assurances of identity, authority, legality, quality, safety, suitability, accuracy, or future conduct. Users remain responsible for evaluating the people, Content, Offerings, locations, and Transactions with which they interact.

12. Third-Party Services

The Platform may link to, display, embed, or connect with services provided by Payment Processors, Merchants, Integration providers, Platform Component providers, and other third parties. Their services may be governed by separate terms, privacy notices, fees, and requirements. Youshare does not control or guarantee every third-party service. When you authorize a connection or direct a disclosure, information may be provided to the relevant recipient within the authorized scope and as described in Youshare Privacy.

13. Availability and Changes to the Platform

Youshare may modify, reorganize, restrict, suspend, replace, or discontinue any Platform area, Platform Component, category, function, or access method. Youshare does not guarantee permanent availability, uninterrupted access, a particular display or ranking, delivery of every notification, preservation of every item, or compatibility with every device or external service. Any remedy required for a paid function remains subject to applicable law and the terms governing that function.

14. Moderation and Enforcement

Youshare may review, investigate, restrict, label, reclassify, remove, or disable Content or Platform activity, and may limit, suspend, or terminate an Account or function, when Youshare reasonably believes action is appropriate to enforce its documents, protect users or the Platform, address fraud, security, payment, or operational concerns, comply with provider requirements, or comply with law. Youshare may act without advance notice when immediate action is reasonably necessary or legally permitted.

Youshare is not required to monitor every Account, Content item, Listing, communication, Offering, or Transaction and does not guarantee that it will detect or resolve every violation. A report does not guarantee a particular review, outcome, remedy, disclosure, or timeframe. Youshare may provide notice, a response opportunity, or an appeal when offered or required by law.

15. Account Closure and Survival

You may request Account closure through the method Youshare makes available. Closure does not by itself cancel a subscription or outside service or eliminate pending Transactions, payment obligations, disputes, Merchant duties, or liabilities already incurred. Public Content and copies held by recipients or third parties may remain available. Youshare may retain and delete information as described in Youshare Privacy and applicable law.

Provisions that by their nature should survive suspension, closure, or termination will survive, including provisions concerning ownership, licenses, Transactions, payments, disclaimers, liability, indemnification, disputes, and legal compliance.

16. Intellectual Property and Rights Complaints

The Platform, including Youshare's software, interfaces, designs, databases, documentation, names, logos, and Youshare-created materials, is owned by or licensed to Youshare and protected by law. No rights are transferred except for the limited license expressly granted in these Terms. You may not use Youshare's branding or confusingly similar identifiers without written permission.

Copyright notices and counter-notices are governed by Section 3 of the Youshare Intellectual Property Policy. Repeat copyright infringement and other repeat violations are addressed in the Youshare Safe Harbor and Repeat Infringers Policy. Other rights complaints may be submitted through the method Youshare designates. A complaint does not guarantee removal, and Youshare need not adjudicate private ownership or licensing disputes.

17. Privacy

Youshare Privacy is a notice describing Youshare’s processing of Personal Information. By accepting these Terms, you acknowledge that Youshare Privacy was made available to you. Youshare Privacy is not incorporated into these Terms as a contractual promise and remains subject to applicable law. A Merchant, Payment Processor, Integration provider, Platform Component provider, or other recipient may process information independently and is responsible for its own legal duties. These Terms do not make private User Data public or replace any consent, notice, or right required by applicable law.

18. Electronic Communications

You agree that Youshare may provide agreements, disclosures, receipts, records, and notices electronically through email, Account notices, Platform messages, checkout, website postings, or another method permitted by law. You are responsible for maintaining current contact information and retaining communications needed for your records. If applicable law requires separate consent, specific delivery, paper availability, or additional disclosures, those requirements control.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." YOUSHARE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

YOUSHARE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT CONTENT, FILES, USERS, MERCHANTS, OFFERINGS, PLATFORM COMPONENTS, THIRD-PARTY SERVICES, VERIFICATION, RATINGS, SEARCH RESULTS, COMMUNICATIONS, OR TRANSACTIONS WILL BE ACCURATE, COMPLETE, AVAILABLE, AUTHENTIC, LAWFUL, SAFE, SUITABLE, PRESERVED, OR SUCCESSFUL.

NOTHING IN THESE TERMS EXCLUDES A WARRANTY, REMEDY, OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE EXCLUDED. THE YOUSHARE DISCLAIMERS PROVIDE ADDITIONAL RISK INFORMATION WITHOUT EXPANDING THESE OPERATIVE DISCLAIMERS.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUSHARE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING FROM OR RELATING TO THE PLATFORM, THESE TERMS, CONTENT, USERS, MERCHANTS, OFFERINGS, TRANSACTIONS, ACCOUNT ACTIONS, OR THIRD-PARTY SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUSHARE'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE FEES RETAINED BY YOUSHARE FOR THE YOUSHARE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR US$100. AMOUNTS ATTRIBUTABLE TO A MERCHANT OFFERING DO NOT COUNT AS FEES RETAINED BY YOUSHARE MERELY BECAUSE THEY WERE COLLECTED THROUGH A PLATFORM CHARGE.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED. DEPENDING ON APPLICABLE LAW, THAT MAY INCLUDE LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY, OR NONWAIVABLE STATUTORY RIGHTS.

21. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Youshare and its affiliates, directors, officers, employees, agents, contractors, and service providers from third-party claims, liabilities, losses, damages, penalties, costs, and reasonable legal fees to the extent arising from your Content, breach of these Terms, unlawful or wrongful conduct, infringement of another party's rights, Merchant or Transaction activity, Offering, or violation of your legal duties. This obligation does not apply to the extent a claim was caused by Youshare's own legally actionable conduct or indemnification is prohibited by law.

Youshare will provide reasonable notice where practicable and may control the defense. You must reasonably cooperate and may not settle in a way that imposes liability, an admission, or an obligation on Youshare without Youshare's written approval.

22. Disputes Between Users

Users are responsible for their agreements and disputes with one another. Youshare may provide communication, support, or Resolution tools but is not required to decide every dispute. To the maximum extent permitted by law, you release Youshare from claims arising solely from another user's Content, conduct, representations, or obligations, except to the extent a claim results from Youshare's own legally actionable conduct. This section does not waive a nonwaivable right.

23. Governing Law and Disputes with Youshare

Please read this Section carefully. Arbitration uses a neutral arbitrator instead of a judge or jury, and court review is limited.

A. Informal Resolution

Before starting arbitration or a court proceeding permitted by this Section, the claimant must send written notice identifying the claimant, any relevant Account, the dispute, and the requested relief. Notices to Youshare must be sent to [email protected]. Youshare may send notice to the contact information associated with your Account or otherwise provided to Youshare.

The parties will have 30 days after receipt to try to resolve the dispute. This does not prevent an eligible small-claims action, a government complaint, urgent temporary relief, or action needed to preserve a claim. Sending or receiving notice under this Section does not by itself constitute formal service of legal process.

B. Individual Arbitration

Except as stated below, any dispute between you and Youshare arising out of or relating to Youshare.com, the Platform, these Terms, or your relationship with Youshare will be resolved through binding individual arbitration before one neutral arbitrator.

After the informal-resolution period, either party may demand arbitration by written notice sent as provided above and describing the dispute and requested relief. The parties will try to agree on the arbitrator. If they cannot agree within 30 days, either party may ask a court with jurisdiction to appoint the arbitrator.

The arbitrator will establish fair procedures consistent with this Section and applicable law. Arbitration fees will be allocated as required by applicable law. The arbitrator may award any individual relief available in court, and a court may enter judgment on the award. The Federal Arbitration Act governs this arbitration agreement.

For this Section, "Youshare" includes its affiliates, owners, directors, officers, employees, agents, successors, and assigns, each of whom may enforce this Section.

C. Individual Proceedings Only

YOU AND YOUSHARE AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not combine different persons' claims or conduct a class, collective, consolidated, or representative arbitration unless all affected parties agree in writing after the dispute arises.

This does not limit public injunctive or other relief that applicable law does not permit the parties to waive. Any claim or remedy that applicable law requires a court to decide may proceed there only to that extent. All remaining claims remain subject to arbitration.

D. Exceptions

Either party may bring an eligible individual claim in small-claims court, submit a complaint to a government agency, or seek temporary court relief reasonably necessary to prevent imminent harm or protect intellectual property, confidential information, or Account or Platform security. Seeking temporary relief does not waive arbitration of the remaining dispute.

E. Governing Law, Court Proceedings, and Jury-Trial Waiver

Unless mandatory law provides otherwise, Nevada law governs these Terms without regard to conflict-of-law principles.

Any court proceeding not required to be arbitrated under this Section, other than an eligible small-claims action, must be brought in the state or federal courts located in Clark County, Nevada, unless applicable law requires otherwise. You and Youshare consent to personal jurisdiction and venue in those courts.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND YOUSHARE WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE PERMITTED TO PROCEED IN COURT.

F. Arbitration Opt-Out

You may opt out of this arbitration agreement and the class-action and jury-trial waivers within 30 days after first accepting a version of these Terms containing them.

Email [email protected] with the subject "Arbitration Opt-Out" and include your full name, Account username or email address, and a statement that you are opting out. If you timely opt out, those provisions will not apply to you. Your Account and the remaining Terms will not be affected.

G. Severability and Survival

If any part of this Section is unenforceable, it will be limited or severed to the minimum extent necessary, and the remainder will continue in effect. If a court finally determines that the class-action waiver is unenforceable as to a particular claim or remedy, only that claim or remedy may proceed in court. It may not proceed as a class, collective, consolidated, or representative arbitration, and all remaining claims remain subject to arbitration.

24. Changes to These Terms

Youshare may update these Terms. An updated version will identify its effective date. Youshare will provide notice and obtain renewed acceptance when required by law or reasonably appropriate for a material change. Changes apply prospectively and do not retroactively eliminate rights or obligations that cannot lawfully be changed without additional notice or consent.

An accepted Order generally remains subject to the terms and disclosures presented before the Order was submitted, unless applicable law requires a change, the original terms lawfully authorize the specific later action, or the affected parties validly agree. Where Youshare presents updated Terms with an acceptance control, your selection of that control constitutes acceptance.

25. General Provisions

These Terms and incorporated supplemental terms form the agreement concerning their subject. If a provision is unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue. Youshare's failure to enforce a provision is not a waiver.

You may not assign these Terms without Youshare's written permission. Youshare may assign them in connection with a merger, acquisition, financing, restructuring, sale of assets, or transfer of Platform operations. These Terms do not create a partnership, joint venture, employment, franchise, fiduciary, or agency relationship between you and Youshare, and they create no third-party beneficiary except where expressly stated.

Youshare is not responsible for delay or failure caused by events beyond its reasonable control, except to the extent a duty cannot lawfully be excused. You must comply with applicable export-control, economic-sanctions, and trade laws. Headings do not limit meaning, and "including" means "including without limitation."

26. Relationship to Other Youshare Terms

These Terms govern the Platform generally. Additional terms, policies, notices, guidelines, fee disclosures, and Transaction disclosures may govern particular Platform Components, Content, Listings, Offerings, Transactions, Merchant activities, payment functions, Verification processes, advertising, or other features.

Mandatory applicable law controls first. Subject to that law, a more specific Youshare document controls only the subject it expressly addresses, and these Terms continue to govern matters it does not address. Platform-wide Youshare documents control over inconsistent Platform Component terms, Transaction disclosures, Merchant policies, and private user agreements unless the controlling Youshare document expressly permits otherwise. No Merchant policy or private agreement may reduce a mandatory right or override Youshare's legal, privacy, safety, payment, Verification, Content, or enforcement requirements.
