Version: 1.0
These Youshare Guidelines ("Guidelines") state the Content and conduct standards for the Platform provided by Youshare, Inc., doing business as Youshare ("Youshare"). They supplement the Youshare Terms. Acceptance and contractual effect are governed by the Youshare Terms and any notice presented for the applicable activity. Capitalized terms not defined here have the meanings given in the Youshare Terms. "Personal Information" has the meaning given in Youshare Privacy.
1. Purpose and Scope
These Guidelines apply to Content and conduct through the Platform, including Youshare.com, Accounts, Listings, communications, advertisements, reviews, Transactions, Platform Components, public and private Platform areas, and other supported activity. They apply to each person or organization that submits, publishes, sends, directs, controls, or materially participates in that activity.
The standards below are nonexhaustive. Youshare may address Content or conduct that is materially similar to an identified concern or that presents a legal, safety, privacy, security, fraud, payment, or Platform-integrity risk. A Platform function, category, Rating, Verification, prior availability, or absence of earlier action does not make otherwise restricted or prohibited activity permissible.
2. Guidelines and Descriptions
The Youshare Acceptable Use Policy states general prohibited Platform uses. The following nonexhaustive categories describe Content, conduct, Listings, and other Platform activity that may violate these Guidelines or provide a basis for moderation or reporting. Each category identifies a potential basis for action, not a required enforcement response. Youshare may consider context, severity, applicable law, Youshare Ratings, and other applicable Youshare documents, apply one or more categories, and take action under the Youshare Terms.

Threats, exploitation, dangerous conduct, serious harm, or other unlawful activity affecting people or animals.
• Violent Threats & Dangerous Activity: Threatening, planning, coordinating, encouraging, or providing actionable instructions for violence, dangerous challenges likely to cause serious harm, or violent criminal activity.

A Rating or label does not authorize Content prohibited by applicable law, these Guidelines, the Youshare Acceptable Use Policy, or another applicable Youshare term or policy.
Monetization

• Payment & Financial Abuse: Money laundering, concealed or unauthorized fund movement, payment fraud, chargeback abuse, prohibited wagering, pyramid schemes, or comparable unlawful or deceptive financial activity.

• Fraud & Scams: Using deceptive claims, phishing, forged records, fake opportunities, or fraudulent schemes to obtain money, information, access, or another benefit. Suspected Merchant fraud or material misrepresentation concerning goods, a Product Listing, Order, Transaction terms, or fulfillment is addressed under Suspicious Marketplace Activity.

Infringement of copyright, trademark, patent, or another protected right.
• Intellectual Property Infringement: Using, reproducing, offering, or distributing protected material, including pirated Content, in a manner that infringes another party’s copyright, trademark, patent, or other protected right. Suspected counterfeit goods are addressed under Suspicious Marketplace Activity.

Issues involving a Listing’s compliance, accuracy, eligibility, required information, structure, availability, fulfillment, or performance.
• Prohibited, Restricted, or Noncompliant Offering: Offering a prohibited or restricted Product; offering a prohibited, restricted, or unsafe service, job, property, event, fundraiser, or activity; or failing to satisfy legal or Platform requirements applicable to a Listing or Offering. Suspected unsafe or recalled goods are addressed under Suspicious Marketplace Activity.
• Inaccurate or Nongenuine Listing: A Listing or related promotion contains materially inaccurate, incomplete, or outdated information about the Offering or does not represent a genuine, available opportunity, where Merchant fraud or material misrepresentation is not suspected. Suspected Merchant fraud or material misrepresentation concerning goods, a Product Listing, Order, Transaction terms, or fulfillment is addressed under Suspicious Marketplace Activity.

• Merchant Fraud or Misrepresentation: Using materially false or deceptive statements, omissions, records, or conduct concerning a Merchant, goods, a Product Listing, Order, Transaction terms, sourcing, or fulfillment.
• Other Suspicious Marketplace Activity: Other marketplace conduct involving a Merchant, goods, Product Listing, Order, or Transaction that is reasonably suspected to be unlawful, materially deceptive, or materially unsafe and is not more accurately covered by another Guideline.
Reviews
Manipulation, fabrication, undisclosed incentives, or extortion involving Ratings or Reviews.
• Rating or Review Manipulation: Creating, buying, selling, procuring, coordinating, or deceptively manipulating Ratings, Reviews, or other Platform signals that are fake, false, irrelevant, or not based on genuine experience, conditioning an incentive on a particular sentiment, or failing to disclose a material connection when required.
• Review Extortion: Using a threat to post or withhold a Review, or an offer to post a favorable Review, to obtain payment, a refund, services, or another benefit not otherwise owed.
Platform
Violations involving a particular Platform feature or process that are not more accurately covered by another category.
• Feature-Specific Violation: Violating an applicable rule for an App, Container, Catalog, Transaction, Verification process, or other Platform activity not more accurately covered by another category.
3. Responsibility for Content and Conduct
You are responsible for the Content and activity you submit, publish, send, offer, or control and must have the rights and authority needed for that activity. Statements of fact must be accurate where accuracy is material, and applicable classifications and disclosures must be accurate and complete.
Consider the complete presentation, including titles, descriptions, images, audio, video, links, previews, attachments, and the audience and Platform surface where the Content appears. You must not use one part of a presentation to conceal or contradict a material fact shown elsewhere.
An Organization Account is responsible for activity it authorizes. A Merchant remains responsible for its Listings, Offerings, advertisements, representations, fulfillment, and customers as provided in the Youshare Merchant Terms and other applicable documents.
4. Safety and Respect
Content and communications must not promote, encourage, coordinate, or facilitate serious harm, exploit or endanger a minor, target another person with abusive harassment, or encourage self-harm. The Youshare Acceptable Use Policy governs prohibited Platform conduct.
Content concerning violence, abuse, self-harm, crime, emergencies, or other disturbing subjects may be allowed, restricted, or removed based on its context and risk. Legitimate reporting, educational, documentary, artistic, fictional, public-safety, recovery, or supportive context may be relevant but does not guarantee availability.
Good-faith criticism, disagreement, reporting, complaints, legal claims, and honest negative reviews are not prohibited merely because they are critical, disputed, denied, or unsuccessful. They remain subject to applicable Youshare rules.
5. Audience and Content Classification
Audience Ratings, Additional Labels, and classification responsibilities are governed by Youshare Ratings. Making a classification control available does not by itself make a Rating mandatory. A user must not use an inaccurate Rating, label, preview, or Unlabeled status to evade an audience or placement restriction.
Unlabeled status, a Rating, label, warning, age gate, or audience setting does not mean Youshare reviewed, approved, verified, or endorsed the Content. It does not make Content lawful or authorize Content prohibited by these Guidelines, the Youshare Acceptable Use Policy, or another applicable rule.
Account eligibility is governed by the Youshare Terms. A person under 13 may not create or use an Account. A particular Platform function may impose a higher minimum age or other eligibility requirement. Youshare may permit age-restricted Content only through a Content type and access framework it expressly supports, subject to Youshare Ratings, applicable Platform restrictions, and law. A Content label for an audience under 13 does not authorize under-13 Account access.
Pornographic Content, explicit sexual activity, visual nudity presented primarily for sexual arousal, gratuitous or exploitative severe or realistic graphic gore, and other Content prohibited by these Guidelines, the Youshare Acceptable Use Policy, or another applicable rule may not be submitted, published, sent, stored, distributed, or otherwise made available through the Platform. An Adult classification, label, warning, or restricted-access setting does not authorize prohibited Content.
Content permitted in one Platform area may be restricted in another. Youshare may apply stricter classification, disclosure, placement, visibility, or monetization requirements to live, promoted, advertised, publicly previewed, or other prominent Content.
6. Authenticity, Reviews, and Materially Altered Content
Content must not materially misrepresent a person, organization, affiliation, event, Offering, review, Transaction, or other fact on which another user may reasonably rely. Commentary, parody, fiction, and fan Content should be presented clearly enough to avoid material deception.
Use of artificial intelligence, editing, translation, enhancement, or other content-generation technology is not prohibited merely because the technology was used. You must not use altered, fabricated, or generated Content to deceive users, impersonate another party, fabricate evidence or reviews, conceal an Offering's true nature, or cause unlawful harm. A disclosure or label may be required by law, Youshare Ratings, or another applicable rule and does not excuse otherwise prohibited Content.
Reviews and testimonials must reflect the reviewer's genuine experience and honest opinion. Ratings and other Platform signals must have a truthful basis permitted by the applicable feature. A Merchant or other business must not offer or provide compensation or another incentive for a review that is expressly or by implication conditioned on the review expressing a particular sentiment. Any incentive, sponsorship, ownership, employment, family, or other material connection must be clearly and conspicuously disclosed when required by law or Youshare rules. Users must not create, buy, sell, procure, distribute, coordinate, or deceptively manipulate fake or false reviews or Platform signals, or use threats or retaliation to suppress an honest review.
7. Listings, Advertising, and Monetization
Listings, advertisements, promotions, and transaction-related communications must accurately identify the responsible party and disclose material information required by law, the applicable Youshare documents, and the Transaction. A Merchant or advertiser is responsible for the legality, accuracy, support, substantiation, permissions, and material terms of its claims and Offerings.
Advertising, sponsored Content, and other commercial promotions must be identifiable where required and must not conceal a material connection or conflict with the Listing, Offering, or destination they promote. A disclaimer does not cure fraud, a material omission, an unsupported claim, or a prohibited Offering.
Monetization, advertising, promotion, placement, search visibility, recommendations, revenue, and audience reach are not guaranteed and remain subject to applicable terms and eligibility requirements.
8. Privacy, Confidentiality, and Rights
Do not submit, publish, sell, or distribute another person's private, confidential, intimate, or otherwise protected information or material without sufficient authority or another lawful basis. Public availability does not by itself authorize unrestricted use.
You must have the rights, licenses, permissions, and releases needed for Content you submit or distribute. To request treatment under a specialized rights or safety process, use the process identified in the applicable Youshare document or Help Center. Copyright notices and counter-notices are governed by Section 3 of the Youshare Intellectual Property Policy. Requests concerning nonconsensual intimate imagery should use Youshare's designated Nonconsensual Intimate Depiction Removal Process in the Help Center. Nothing in these Guidelines limits a submission that applicable law treats as sufficient.
Youshare Privacy governs Youshare's processing of Personal Information. These Guidelines do not independently expand Youshare's authority to collect, use, disclose, retain, or otherwise process Personal Information.
9. Reporting Concerns
Suspected violations may be reported through a control, Help Center process, or other method Youshare makes available. A report should truthfully identify the relevant Content or activity and provide enough information for Youshare to locate and understand the concern. Reports must be submitted in good faith and must not be fabricated, retaliatory, or abusive.
An ordinary Guidelines report is not necessarily a formal rights, privacy, refund, payment, legal, or emergency request. The process identified for the particular matter controls, except where applicable law treats another submission as sufficient.
Except as required by applicable law or an express Youshare term, an ordinary Guidelines report does not guarantee review, action, a remedy, an appeal, or a timeframe. Reports are not emergency communications. A person facing immediate danger should contact the appropriate emergency service or authority.
10. Moderation and Enforcement
Youshare may enforce these Guidelines through measures available under the Youshare Terms, including without advance notice when reasonably necessary or legally permitted. Notice, reasons, a response opportunity, or an appeal may be provided when offered or required by law. Youshare does not undertake to review every item or guarantee detection or resolution. This does not limit any duty imposed by applicable law. Prior availability or inaction is not an endorsement, and moderation does not necessarily determine legal rights, liability, or payment remedies.
11. Changes to These Guidelines
Youshare may update these Guidelines prospectively. An updated version will identify its effective date, and Youshare will provide additional notice or obtain renewed acceptance when required by applicable law. Content remaining available and conduct continuing after an update takes effect must comply with the then-effective Guidelines, subject to nonwaivable rights.
12. Relationship to Other Youshare Terms
Mandatory applicable law controls first. These Guidelines govern Content and conduct standards. The Youshare Terms govern the contractual relationship and the Platform generally. The Youshare Acceptable Use Policy governs prohibited Platform uses. Youshare Ratings governs Content classifications, labels, audience access, and related treatment. Youshare Privacy governs Youshare's processing of Personal Information. The Youshare Merchant Terms, applicable App-specific prohibited-products or prohibited-services rules, and applicable Transaction or Platform Component terms govern matters within their stated scope.
Subject to mandatory law and any Youshare Terms provision expressly stated to control Platform-wide, a more specific Youshare document controls only the subject it expressly addresses, and these Guidelines continue to govern other Content and conduct. Platform-wide Youshare documents control over inconsistent Platform Component terms, Transaction disclosures, Merchant policies, and private agreements unless the controlling Youshare document expressly permits otherwise. No Rating, label, Verification, provider approval, Merchant policy, private agreement, or user instruction may authorize conduct prohibited by controlling Youshare documents or reduce a mandatory right.
