Version: 1.0
This Youshare Buyer and Seller Protection Policy ("Protection Policy") governs any limited, voluntary buyer or seller protection program that Youshare, Inc., doing business as Youshare ("Youshare"), expressly makes available for certain supported Transactions (the "Protection Program" or "Program"). It supplements the Youshare Terms. Acceptance and contractual effect are governed by the Youshare Terms and any notice presented for the applicable activity. Capitalized terms not defined here have the meanings in the Youshare Terms or the Youshare Payments Policy. "Personal Information" has the meaning in Youshare Privacy.
In this Protection Policy, a "Buyer" is an Explorer acting as the customer or other recipient in the relevant Transaction, and a "Seller" is the Merchant responsible for the underlying Offering. Buyer and Seller are Program descriptions, not Account Types, and do not alter the payment roles governed by the Youshare Payments Policy.
1. Scope and Nature of the Protection Program
The Protection Program applies only to a Transaction that Youshare expressly identifies as protection eligible and that satisfies the applicable conditions (a "Protection-Eligible Transaction"). A "Protection Disclosure" is a Youshare-issued checkout or Transaction disclosure presented before the applicable Order is submitted that identifies the available protection and its material terms. The applicable Order or receipt may memorialize that disclosure.
Before an Order is submitted, the Protection Disclosure must clearly and conspicuously identify whether the Transaction is protection eligible, the eligible requester, the material concerns eligible for review and material exclusions, the available remedy and any monetary limit, the request method and deadline, and any material Transaction safeguard. A receipt may not first disclose a material protection limitation. A general advertisement, Listing statement, Help Center page, Protection indicator, Verification result, Rating, review, prior decision, or earlier eligibility does not independently make a Transaction protection eligible. Eligibility to submit a request does not mean the request will be approved.
The Protection Program does not apply to every Account, Offering, Order, Transaction, payment, Buyer, Seller, or location. It does not independently create or expand a refund obligation. It is a limited, Transaction-specific assistance process. It is not offered or sold as insurance, does not warrant an Offering or guarantee payment, performance, or recovery, and does not create an escrow relationship or finally adjudicate legal rights or liability.
The Merchant remains responsible for its Offering and Merchant obligations. The Youshare Payments Policy and applicable Transaction disclosures govern the parties' payment roles. Operating the Protection Program does not transfer the Merchant's underlying obligations to Youshare or guarantee fulfillment, payment, or recovery.
2. General Eligibility
Protection eligibility may require that:
• The Transaction was expressly identified as protection eligible under the applicable Protection Disclosure.
• The Order was submitted through supported Order processes, and the relevant payment was processed through supported Platform payment systems and recorded for the affected Transaction.
• The requesting party used an eligible Account, had authority to participate, and satisfied the requirements applicable to that party and Transaction.
• The requesting party materially complied with the requirements of applicable law and Youshare documents that relate to the Transaction or Protection request.
• Material Transaction, delivery, access, scheduling, identity, and payment information was accurate.
• The request was submitted through the required method and within the disclosed voluntary request period.
• The requesting party provided truthful, materially complete, unaltered, and reasonably available information relevant to the request and reasonably cooperated with the process.
• Any required return, access revocation, or other lawful remedy condition was satisfied.
• The requesting party did not knowingly retain duplicate recovery or engage in fraud, abuse, collusion, manipulation, or evasion.
Buyer and Seller eligibility are evaluated separately. A Buyer may qualify for an available remedy even when the Seller does not qualify for Seller protection. A Merchant's lack of funds does not eliminate the Merchant's obligation or any independent remedy Youshare is required to provide. Youshare's recovery rights against the Merchant remain separate.
3. Buyer Protection
Buyer protection applies only to concerns and remedies expressly included in the applicable Protection Disclosure. This Protection Policy does not independently make any category of nondelivery, delay, cancellation, nonconformity, defect, damage, access failure, or dissatisfaction eligible.
Unless the Protection Disclosure or applicable law provides otherwise, Buyer protection does not apply to a change of mind or subjective dissatisfaction outside an applicable right, a disclosed or immaterial condition, a loss caused or materially increased by the Buyer, an off-Platform payment or arrangement, prohibited or unsupported activity, an untimely request, an excluded loss, or a loss already recovered. Buyer-facing relief may nevertheless remain available or required under applicable law or another controlling term.
The Buyer must satisfy the conditions stated in the applicable Protection Disclosure, provide accurate and reasonably available information, and follow lawful and reasonable instructions concerning a return, revocation of access, or another remedy. Failure to satisfy a voluntary Program condition may affect a Program remedy, subject to applicable law.
4. Seller Protection
Seller protection applies only when the applicable Protection Disclosure separately identifies the Transaction as eligible and provides only the Seller relief stated in that disclosure. It may affect only a Youshare-administered Program decision concerning the Merchant and does not bind a Payment Processor or other provider, guarantee payment, prevent a refund or chargeback, or promise Youshare-funded reimbursement.
Seller eligibility may require lawful and accurate Merchant activity, fulfillment as agreed, use of disclosed Transaction safeguards, reasonably sufficient records, truthful information, and reasonable cooperation. The Youshare Merchant Terms continue to govern the Seller's underlying responsibilities.
Seller protection does not eliminate a Merchant refund, return, cancellation, warranty, recall, safety, or other customer obligation or cover a loss attributable to the Seller's Offering, conduct, breach, or deficient fulfillment. A completed Transfer or Payout does not establish Seller protection or eliminate a Merchant obligation.
5. Requests, Deadlines, and Cooperation
A request must be submitted through the Order page, Resolution method, or other process identified in the applicable Protection Disclosure and within its disclosed voluntary request period. An ordinary message, support inquiry, report, review, cancellation request, or communication with another user is not necessarily a Protection request. A Protection request does not replace a safety, recall, privacy, rights, payment-error, insurance, regulatory, or legal notice that must be submitted through another process.
A requesting party must identify the Transaction and concern, state the requested remedy, disclose any return, settlement, credit, chargeback, insurance payment, or other recovery, and provide materially relevant information reasonably available to that party within a reasonable period stated in the request. Youshare may require Account authentication or reasonable Verification and may decide the voluntary request using reasonably available information when a material failure to respond or cooperate prevents further review.
The Protection Program does not extend a Merchant, Payment Processor, financial-institution, carrier, insurer, warranty, statutory, or legal deadline. Each party remains responsible for protecting its outside rights. A good-faith request or outside dispute is not abusive merely because it is denied or unsuccessful.
6. Review and Program Remedies
Subject to the applicable Protection Disclosure, Youshare documents, Payment Processor requirements, Youshare's actual authority, and applicable law, Youshare may administer, approve, partially approve, pause, deny, or close a Protection request and may facilitate an available lawful remedy.
A voluntary Program remedy is limited to the monetary or nonmonetary remedy stated in the applicable Protection Disclosure. A remedy required by law remains governed by that law. Payment mechanics for an authorized monetary refund are governed by the Youshare Refund Policy and Youshare Payments Policy. A credit may not replace a required monetary refund unless the affected person validly agrees and the substitution is lawful.
A Program decision governs only the voluntary remedy administered through that process. It does not finally determine fraud, ownership, authenticity, negligence, professional competence, contractual or legal liability, criminal conduct, or rights outside the Program. Youshare does not guarantee a particular outcome, appeal, recovery, or completion time unless an express term or applicable law requires it.
7. Monetary Limits and Excluded Losses
A voluntary monetary Program remedy may not exceed the eligible loss or any lower monetary limit stated in the applicable Protection Disclosure, reduced by prior refunds, credits, replacements, reversals, settlements, and other recovery, unless applicable law requires otherwise.
The Program does not compensate for consequential or other losses excluded by the applicable Protection Disclosure, except where applicable law requires otherwise. A Program exclusion does not determine whether a person has a separate legal claim against a responsible party.
The Protection Program does not promise reimbursement from Youshare's own assets for an obligation owed by a Merchant or another party. This does not limit an obligation that applicable law or an express Transaction commitment directly imposes on Youshare. Youshare's recovery rights against a Merchant are separate from the customer-facing remedy and are governed by the Youshare Payments Policy, the Youshare Merchant Terms, applicable authorizations, and law.
8. Outside Disputes, Duplicate Recovery, and Misuse
A chargeback, bank dispute, unauthorized-transfer claim, billing-error claim, warranty claim, insurance claim, carrier claim, court action, or other outside process is separate from the Protection Program and remains subject to its own rules and deadlines. As permitted by law, Youshare may coordinate or pause a related voluntary request while an outside process is pending and may close the request to the extent the same loss has been resolved or recovered through that process. An outside decision does not necessarily determine every right between the parties. This does not extend or suspend a mandatory deadline or remedy.
No person may knowingly retain duplicate recovery for the same amount or loss, except where applicable law permits cumulative remedies. A person requesting or receiving a Program remedy must disclose other recovery and, where authorized by applicable terms and law, return or permit recovery of a duplicative amount. A Payment Method is not authorized for recovery merely because it is stored or on file.
Knowingly false, fabricated, altered, materially misleading, collusive, or evasive Protection requests or supporting information are prohibited. Where applicable terms and law authorize the action, Youshare may deny or reverse a voluntary Program remedy or seek lawful repayment of a duplicative or erroneous amount. Youshare may also act under the Youshare Terms, Youshare Acceptable Use Policy, Youshare Payments Policy, and applicable law. This does not restrict a good-faith request, complaint, chargeback, or legal claim.
9. Privacy, Availability, and Changes
Youshare may process information reasonably necessary to administer the Protection Program as described in Youshare Privacy and applicable law. A person submitting information must have authority to provide it. Submission of nonpublic information does not make it public.
Youshare may modify, limit, suspend, replace, or discontinue the Protection Program for future Transactions. Updates apply prospectively. The version of this Protection Policy and the materially applicable Protection Disclosure presented when an Order was submitted generally govern that Transaction unless applicable law requires a change, the original terms lawfully authorize the specific later action, or the affected parties validly agree. An update will not retroactively eliminate a vested or mandatory right.
Account restriction, suspension, or closure does not by itself eliminate a properly submitted unresolved request, refund, return, payment dispute, Merchant obligation, recovery right, or liability arising from prior activity.
10. Mandatory Rights and Youshare Responsibilities
This Protection Policy does not waive, restrict, replace, or extend a nonwaivable refund, return, cancellation, warranty, payment-error, unauthorized-payment, chargeback, consumer, or other right or deadline. Nothing in this Protection Policy transfers a duty applicable law assigns directly to Youshare or permits Youshare to disclaim responsibility that cannot lawfully be disclaimed. Youshare remains responsible for its own express commitments, direct services, legally actionable conduct, and duties applicable law assigns to Youshare based on its actual role.
11. Relationship to Other Youshare Terms
Mandatory applicable law controls first. This Protection Policy supplements the Youshare Terms and governs only the limited Protection Program within its stated scope. It does not independently create or expand a refund obligation. The Youshare Terms govern the Platform generally and continue to govern matters this Protection Policy does not address.
The Youshare Refund Policy governs general refund, return, and cancellation eligibility and supported Resolution procedures. The Youshare Payments Policy governs payment authorization, payment mechanics, Payment Processor involvement, Transfers, holds, reserves, deductions, offsets, reversals, disputes, chargebacks, negative balances, and recovery. The Youshare Merchant Terms govern Merchant responsibilities. Youshare Privacy governs Youshare's processing of Personal Information. The Youshare Acceptable Use Policy governs misuse. The Youshare Guidelines and Youshare Ratings govern their stated subjects, and applicable App-specific prohibited-products or prohibited-services rules govern Offering eligibility within their stated scope.
The applicable Protection Disclosure governs only the Transaction-specific eligibility, eligible concerns and exclusions, remedy, monetary limit, request method and deadline, and safeguards presented before the Order. Other lower-level terms govern their stated subjects only under the hierarchy in the Youshare Terms. A Merchant policy may add lawful customer rights but may not create Protection eligibility or bind Youshare.
Subject to mandatory law, a more specific Youshare document controls only the subject it expressly addresses. No lower-level term, private agreement, provider approval, Verification result, or user instruction may authorize prohibited activity, reduce a mandatory right, impose an unsupported obligation on Youshare, or override Youshare's applicable requirements.
