This Youshare Intellectual Property Policy ("Policy") explains how rights owners and affected users may report and respond to claims that material or activity on or through the Platform provided by Youshare, Inc., doing business as Youshare ("Youshare"), infringes copyright, trademark, trade dress, or patent rights or involves counterfeit goods or services. It also states Youshare's complete notice and counter-notice process under the Digital Millennium Copyright Act, 17 U.S.C. Section 512 ("DMCA"). This Policy supplements the Youshare Terms. Acceptance and contractual effect are governed by the Youshare Terms and any notice presented for the applicable activity. Capitalized terms not defined here have the meanings given in the Youshare Terms. "Personal Information" has the meaning given in Youshare Privacy.

1. Scope and Responsibilities

This Policy applies to intellectual property reports concerning Content, Listings, Offerings, Files, Accounts, Platform Components, and other material or activity on or through the Platform. Other rights or disputes may be addressed under applicable law or other Youshare documents.

Each user, including each Merchant, is responsible for having all rights, licenses, and permissions required for material or activity the user submits, offers, distributes, or otherwise makes available through the Platform. A rights-owner claim should be submitted by the rights owner or an authorized representative. Another person may report suspected counterfeit or prohibited activity but may not falsely claim to own or represent a right.

Youshare's handling of a report or response, and any related action or inaction, is not a final determination of ownership, authorization, validity, authenticity, legality, or infringement. Youshare retains separate authority under applicable law and other Youshare documents.

2. Reporting an Intellectual Property Concern

Where available, a claimant may use Youshare's supported intellectual property reporting process and select each applicable right. Otherwise, a claimant may email [email protected]. Copyright notices and counter-notices must be submitted to or addressed to the designated copyright agent in Section 3.2 and must satisfy the applicable DMCA requirements. A general Platform report, message, or support request is not necessarily a valid DMCA notice.

Unless a more specific requirement appears below, a noncopyright report should include the following. A copyright notice or counter-notice need only substantially comply with Section 3 and applicable law. Use of Youshare's supported process or inclusion of the additional information in this Section 2 is not required.

• The claimant's name and contact information, the rights owner's identity, the claimant's relationship to the rights owner, and the claimant's authority to act.

• The right asserted, the relevant jurisdiction, and any applicable registration, patent, or other identifying number and status.

• The exact URL, Content, Listing, Offering, Account, or other material or activity at issue and information sufficient to locate it.

• A clear explanation of the claimed violation and relevant supporting information.

• Details of any related court or agency proceeding or order.

• A physical or electronic signature and an attestation that the report is accurate, complete, authorized, and submitted in good faith.

A report asserting more than one right must satisfy the requirements for each asserted right. The claimant is responsible for providing sufficient and accurate information. Youshare may request additional information, clarification, or verification. Except where applicable law provides otherwise, submitting a report does not constitute formal service of legal process, toll or extend a deadline, or guarantee notice, action, or an outcome.

3. Copyright and DMCA

Sections 3.1 through 3.6 apply only to copyright notices and counter-notices under the DMCA. Trademark, trade dress, counterfeit, and patent reports may use the same reporting channel, but they do not receive the DMCA counter-notice or restoration process.

3.1 Copyright Infringement Notice

A copyright owner or a person authorized to act for the owner of an exclusive right allegedly infringed may send Youshare's designated copyright agent a written notice that substantially includes:

• A physical or electronic signature of a person authorized to act for the owner of the exclusive right allegedly infringed.

• Identification of the copyrighted work claimed to be infringed or, if one notice covers multiple works at a single online site, a representative list.

• Identification of the material claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient for Youshare to locate it.

• Information reasonably sufficient for Youshare to contact the complaining party, such as an address, telephone number, and, if available, an email address.

• A statement that the complaining party has a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

• A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right allegedly infringed.

A copyright registration is not required to submit a DMCA notice. An incomplete notice may be ineffective. Where 17 U.S.C. Section 512(c)(3)(B) applies, Youshare will promptly attempt to contact the complaining party or take other reasonable steps to assist in receiving a substantially compliant notice.

3.2 Designated Copyright Agent

Copyright notices and counter-notices must be sent to:

Service Provider: Youshare, Inc.

Alternate Names: Youshare and Youshare.com

Physical Address: 6090 S Fort Apache Rd #110, Las Vegas, NV 89148

Designated Agent: DMCA Agent

Agent Mailing Address: 6090 S Fort Apache Rd #110, Las Vegas, NV 89148

Telephone: 725-550-5661

Email: [email protected]

3.3 Response to a Copyright Notice

Where Section 512 applies, upon receiving a notification that substantially complies with Section 512(c)(3), Youshare will expeditiously remove or disable access to the identified material and take reasonable steps promptly to notify the affected subscriber or Account holder. Youshare may provide that person with the notice and the complaining party's contact information.

Removal or disabling is not a final infringement determination. Youshare may separately restrict the material or related Platform activity under other applicable Youshare documents or law.

3.4 Counter-Notice

An affected subscriber or Account holder who believes material was removed or disabled because of mistake or misidentification may send Youshare's designated copyright agent a written counter-notice that substantially includes:

• The counter-notifying party's physical or electronic signature.

• Identification of the material removed or disabled and the location where it appeared before removal or disabling.

• A statement under penalty of perjury that the counter-notifying party has a good-faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled.

• The counter-notifying party's name, mailing address, and telephone number, and consent to the jurisdiction of the federal district court for the judicial district containing that address or, if that party is outside the United States, any federal judicial district in which Youshare may be found.

• A statement that the counter-notifying party will accept service of process from the person who submitted the copyright notice or that person's agent.

3.5 Action After a Counter-Notice

Where Section 512(g) applies, Youshare will promptly provide the complaining party with a copy of a counter-notice that substantially complies with Section 3.4 and state that the material will be replaced or access restored in 10 business days. Youshare will replace the material or restore access no sooner than 10 and no later than 14 business days after receiving the counter-notice unless its designated copyright agent first receives (a) notice that the complaining party filed an action seeking a court order to restrain the counter-notifying party from engaging in infringing activity relating to the material, or (b), before restoration, notice of a Copyright Claims Board proceeding that qualifies under 17 U.S.C. Section 1507(d) and alleges infringement of the material identified in the original copyright notice.

Restoration is not a legality determination. Youshare may separately restrict the material or related Platform activity for an independent lawful reason under applicable Youshare documents or law.

3.6 Misrepresentations

A person who knowingly materially misrepresents that material or activity is infringing, or that removal or disabling resulted from mistake or misidentification, may be liable under 17 U.S.C. Section 512(f) for damages, including costs and attorneys' fees, incurred by an alleged infringer, copyright owner or authorized licensee, or service provider injured as a result of the service provider's reliance on the misrepresentation. Each submitter is responsible for the accuracy and authority underlying a notice or counter-notice.

4. Trademark, Trade Dress, and Counterfeit Reports

A trademark, trade-dress, or counterfeit report should additionally identify the asserted right and rights owner, the claimant’s authority, the relevant jurisdiction and any registration or other basis for the asserted right, the exact material or activity at issue, the legal basis for the claim, and relevant supporting evidence.

5. Patent Reports

A patent report should additionally identify the issued patent and asserted claim or design, the rights owner and claimant’s authority, the relevant jurisdiction and territory, the exact material or activity at issue, the legal basis for the claim, and relevant supporting evidence. Youshare may request additional information, decline to act, or require an order from a court or other competent authority before acting on a complex patent dispute.

6. Responses, Review, and Action

For a trademark, trade dress, counterfeit, or patent report, an affected user may submit a signed, good-faith response through the method stated in Youshare's notice or by emailing [email protected]. The response should identify the report and material, explain the disagreement, and provide relevant supporting information and details of any related proceeding or order. A noncopyright response is not a DMCA counter-notice and does not trigger automatic restoration or the DMCA deadlines in Section 3.

Subject to applicable law, Youshare may:

• Request information, verification, or clarification from any party.

• Provide all or part of a report, response, and related contact information to affected parties or their representatives as permitted by Youshare Privacy and applicable law.

• Decline or close an incomplete, unsupported, duplicative, fraudulent, abusive, or bad-faith submission.

• Leave material available or remove, disable, restrict, or restore material or related Platform activity.

• Take separate action concerning Accounts, Listings, Offerings, Transactions, or other activity under applicable Youshare documents.

• Defer to a court or other competent authority, require an order, or take no action when the available information is insufficient.

Youshare is not required to monitor Platform activity, resolve every report, or adjudicate private disputes. No fixed review, response, or restoration deadline applies to a noncopyright claim unless applicable law requires one. Except for the notices required by Sections 3.3 and 3.5 or applicable law, Youshare does not guarantee advance notice or an opportunity to respond before action, review, removal, restoration, Account action, or any outcome. Personal Information submitted under this Policy may be processed and disclosed as described in Youshare Privacy and applicable law.

7. Relationship to Other Youshare Terms

Mandatory applicable law controls first. This Policy governs intellectual property reports and contains Youshare's complete DMCA notice and counter-notice process. It replaces any earlier Youshare DMCA Policy or Youshare Intellectual Property Policy. References elsewhere to the "Youshare DMCA Policy" mean Section 3 of this Policy.

The Youshare Safe Harbor and Repeat Infringers Policy governs repeat copyright infringement and standard technical measures. Youshare Privacy governs Personal Information submitted through these processes. The Youshare Acceptable Use Policy governs prohibited rights misuse, and the Youshare Legal Requests Policy governs formal legal process. The Youshare Terms govern the Platform generally, the contractual relationship, document hierarchy, and matters this Policy does not address. Subject to mandatory law, a more specific Youshare document controls only the subject it expressly addresses.
