Version: 1.0
This Youshare Payments Policy ("Payments Policy" or "Policy") supplements the Youshare Terms and governs supported payment and payout functionality on Youshare. It forms a legally binding agreement between Youshare, Inc., doing business as Youshare ("Youshare," "we," "us," or "our"), and the person or organization using that functionality ("you" or "your"). Acceptance and contractual effect are governed by the Youshare Terms and the notice or control presented for the applicable activity. Capitalized terms not defined here have the meanings in the Youshare Terms. "Personal Information" has the meaning in Youshare Privacy.
1. Scope and Definitions
This Policy applies to Person Accounts and Organization Accounts when paying, accepting payments, connecting a payment account, receiving Merchant Amounts, requesting or receiving a Transfer or Payout, issuing a supported refund, or otherwise using payment functionality. Explorer and Merchant are activity-based roles, not Account Types.
For this Policy:
• Payment Method means a supported card, bank account, wallet, payment credential, or other means of payment.
• Payment Processor means a third party that provides payment, account, Transfer, payout, or related services.
• Platform Charge means a supported customer charge created through a Payment Processor for a Youshare or Merchant Offering.
• Connected Payment Account means a Payment Processor account connected to an Account for Merchant payment functionality. It is not a Youshare Account Type.
• Merchant Amount means the net amount attributed to Merchant activity after authorized deductions, adjustments, and withholdings.
• Transfer means a supported movement of a Merchant Amount through the applicable payment configuration to a Connected Payment Account.
• Payout means an external disbursement of a Merchant Amount by a Payment Processor to a Merchant's eligible payout destination.
Additional terms may apply to a particular Payment Processor, Payment Method, Platform Component, Offering, Transaction, fee, currency, location, or payment configuration. Payment functionality may vary or be unavailable.
2. Eligibility, Authority, and Information
Account eligibility is governed by the Youshare Terms. A person must be at least 18 years old and have contractual capacity to submit an Order, make a payment, use Merchant payment functionality, connect a Connected Payment Account, or receive a Merchant Amount, Transfer, or Payout. An Organization Account must conduct that activity through an authorized representative who satisfies those requirements. Additional legal, Platform, Payment Method, Payment Processor, location, and Verification requirements may apply.
You may use payment functionality only for an Account, organization, Payment Method, Connected Payment Account, and activity you are authorized to use or represent. If you act for an organization, you represent that you have authority to bind it and give the applicable payment instructions. You must provide truthful, complete, and current payment, identity, ownership, representative, tax, and account information reasonably required for the function. You may not use another person, Account, organization, or payment account to evade a requirement or obligation.
You are responsible for payment activity you authorize or permit, subject to nonwaivable rights concerning unauthorized payments, Account access, or electronic transfers.
3. Payment Processors and Connected Payment Accounts
Youshare may use one or more Payment Processors, whose separate terms, privacy notices, eligibility decisions, restrictions, and service availability may apply. Youshare does not guarantee any particular Payment Processor, Payment Method, or payment function.
Where required, a Merchant must create, connect, and maintain an eligible Connected Payment Account, accept applicable provider terms, complete required onboarding or Verification, keep its information current, and maintain an eligible payout destination. Payment Processor approval does not require Youshare to support a Merchant, Offering, Transaction, or activity.
Subject to applicable terms and law, a Merchant authorizes Youshare to exchange required Merchant information with the Payment Processor and submit instructions necessary to administer authorized payments, refunds, adjustments, restrictions, and Transfers. This authorization continues after disconnection or closure only as necessary for prior activity or obligations.
4. Charges and Payment Authorization
When you affirmatively submit a payment after the material payment terms are presented, you authorize the Payment Method and total amount shown, including any separately disclosed fees, taxes, shipping charges, tips, contributions, or other charges included in that total. You represent that you are authorized to use the Payment Method.
A one-time authorization permits only the charge presented. Storing a Payment Method does not by itself authorize a later charge, an increased or variable charge, or recovery of another amount. A later charge requires a separate authorization or a valid recurring authorization that already covers it. Any additional consent required by law or applicable payment rules must be obtained.
Where disclosed and supported, a Payment Processor may place a temporary authorization hold. A hold may affect available funds or credit and may differ from a completed charge. The applicable financial institution or provider controls its release timing.
Youshare or a Payment Processor may decline, pause, cancel, or reverse a payment when permitted by applicable terms and law. A payment or Transfer status does not guarantee Order acceptance, fulfillment, final settlement, a Payout, or freedom from a later lawful adjustment.
For a Platform Charge, Youshare processes the customer charge and acts as the merchant of record for that charge. The Merchant remains responsible for providing and fulfilling the underlying Offering. Applicable checkout, Order, receipt, and Transaction disclosures identify the parties' roles. A customer's payment statement may identify Youshare or another descriptor disclosed for the Transaction.
5. Subscriptions and Recurring Payments
Before a supported subscription, automatic renewal, trial conversion, recurring payment, or other negative-option arrangement begins, the material price, billing frequency, renewal, trial, cancellation, and other required terms must be presented, legally sufficient consent must be obtained, and required acknowledgments, reminders, notices, and an effective, reasonably accessible cancellation method must be provided. Each party remains responsible for duties applicable to functions it controls or that law assigns to it. A Merchant must provide accurate information and cooperation and satisfy enrollment, billing, notice, and cancellation duties it independently controls. Youshare remains responsible for duties assigned directly to it.
By affirmatively enrolling, you authorize the disclosed recurring charges until cancellation takes effect. A material change to the amount, frequency, or other payment term is subject to any additional notice or consent required by law. Cancellation ordinarily stops future renewal charges and does not automatically refund an authorized current or prior period unless the applicable terms or law provide otherwise.
Closing a Youshare Account does not by itself cancel a subscription billed by a Merchant or external provider. The disclosed cancellation method controls unless applicable law or the applicable terms provide another method. Nothing in this section limits a nonwaivable renewal, cancellation, refund, or payment right.
6. Prices, Fees, and Taxes
The total price and mandatory charges must be presented at the stage required by applicable law and before payment authorization. The price and charges presented when a payment is authorized govern that authorization, subject to lawful corrections. Youshare may charge fees disclosed before the applicable charge. The standard Merchant Transfer schedule and Merchant-attributable chargeback fee are stated in the dated Youshare Merchant Payment Fees and Transfer Schedule. Other current rates, fee amounts, or Merchant Transfer schedules may be stated in a dated fee or payment disclosure presented for the relevant Account, Transaction, plan, Platform Component, or payment function. A Payment Processor or other provider may impose separately disclosed fees under its own terms.
A separately disclosed and authorized fee for a distinct service actually provided is refunded only when the applicable terms or law require it. An unauthorized or erroneous fee will be returned as required by applicable law.
Youshare will calculate, collect, withhold, report, or remit taxes when applicable law assigns that duty to Youshare. Merchants must provide accurate tax information and classifications and remain responsible for taxes, registrations, filings, records, and other tax duties not assigned directly to Youshare or a Payment Processor by law. A Merchant may not separately collect a tax that Youshare identifies as collected for the same Transaction unless authorized. Each other party remains responsible for tax duties assigned to it by law. Youshare does not provide tax advice.
7. Payment Status, Errors, and Corrections
Payment and Transfer records may be pending, estimated, delayed, rounded, updated, reversed, or corrected. Payment Processor records govern provider-side processing status, and Youshare records govern Platform-side status, in each case subject to correction, applicable terms, and law.
Youshare may correct an erroneous charge, fee, tax, refund, Merchant Amount, Transfer, or Transaction record as permitted by applicable terms and law. Youshare will not increase a completed customer charge solely to correct an error without obtaining any additional authorization required by law or applicable payment rules. A Merchant may not retain an amount it knows or reasonably should know was transferred by mistake, credited more than once, reversed, or otherwise not owed.
You should review payment records and promptly report suspected errors or unauthorized activity through an available support or Resolution method and, when appropriate, to the applicable financial institution or Payment Processor. A request for prompt notice does not shorten a statutory reporting period or eliminate an unauthorized-payment, billing-error, electronic-transfer, or other mandatory right.
An unclaimed payment amount will be handled by the party legally responsible for it in accordance with applicable unclaimed-property law.
8. Merchant Amounts, Transfers, Holds, and Reserves
The standard Transfer schedule is stated in the Youshare Merchant Payment Fees and Transfer Schedule. Transfer eligibility and timing remain subject to settlement, fulfillment, Verification, refunds, disputes, fraud or payment risk, negative balances, Payment Processor requirements, applicable law, and other disclosed Transaction-related grounds. Displayed amounts and dates are estimates unless expressly guaranteed. A Transfer does not guarantee a Payout or eliminate a later authorized adjustment or Merchant responsibility.
Subject to applicable law and disclosed payment terms, a Merchant authorizes Youshare to instruct or facilitate through the Payment Processor a reasonable delay or restriction of a payment or Transfer, or a hold or reserve, when reasonably necessary for a legitimate payment, fulfillment, Verification, compliance, provider, or legal purpose. Youshare may act without advance notice when legally permitted and reasonably necessary, subject to any required notice or process.
A failed, returned, or reversed Transfer may be retried, moved to a later eligible period, corrected, or held until required information or eligibility is restored. The Merchant must maintain accurate Connected Payment Account and payout information.
A Platform balance or Transfer display does not by itself create a bank, deposit, escrow, trust, custodial, or stored-value account with Youshare. The actual payment configuration and applicable law determine the parties' rights and duties. Youshare does not owe interest on a Merchant Amount unless expressly stated or required by law.
9. Refunds, Reversals, Disputes, and Chargebacks
Refund, return, and cancellation eligibility is governed by applicable law, the Youshare Refund Policy, the Merchant policy and Transaction disclosures presented when the Order was submitted, and applicable Payment Method rules. This Policy governs payment mechanics after a refund or other remedy is authorized.
An approved monetary refund will ordinarily be submitted for return to the original payer through the original Payment Method and may not be redirected to another person. Another lawful method may be used when the Payment Processor or applicable law permits or requires it. A Platform or Merchant credit may not replace a required monetary refund without legally sufficient agreement. An outside provider may require additional posting time.
Each party remains responsible for a customer-facing remedy assigned to it by law or the governing Transaction terms. A Merchant's lack of funds does not eliminate the Merchant's obligation or any independent remedy Youshare is required to provide. Youshare's recovery rights against the Merchant remain separate.
A chargeback, bank dispute, or other outside payment process is separate from a Youshare Resolution and remains subject to the applicable provider's rules and deadlines. A Youshare process does not extend an outside deadline, and an outside result does not necessarily determine every contractual or statutory right between users. Youshare may coordinate or pause a related internal process only as permitted by law to account for a pending or completed outside dispute and prevent duplicate recovery. This does not extend or suspend a mandatory deadline or remedy.
Merchants must reasonably cooperate with supported refunds, disputes, chargebacks, reversals, and payment reviews and provide timely, truthful, complete, and unaltered information reasonably relevant to the matter. Youshare may decide whether and how to respond to an outside dispute where law and applicable provider rules permit, and does not guarantee any outcome.
10. Merchant Liability, Negative Balances, and Recovery
To the maximum extent permitted by applicable terms and law, a Merchant is responsible for refunds, returns, reversals, disputes, chargebacks, provider assessments, fees, taxes, negative balances, overpayments, and other payment losses or amounts legally and contractually attributable to the Merchant's Offering, conduct, obligations, breach, or payment activity the Merchant or its authorized representatives authorized or permitted. A completed Transfer or Payout does not eliminate that responsibility.
The applicable Merchant-attributable chargeback fee is stated in the Youshare Merchant Payment Fees and Transfer Schedule or another dated fee disclosure presented for the applicable Merchant payment function. Youshare may charge that fee, in addition to any separately disclosed Payment Processor or payment-network assessment, to the extent permitted by law.
Where supported, expressly authorized, and legally permitted, a Merchant authorizes Youshare to recover a Merchant-responsible amount by deducting it from pending proceeds or a future Transfer, offsetting it against another amount payable to the same legally responsible person or organization, applying a reserve, reversing a Transfer through the Payment Processor, charging a separately authorized Payment Method, issuing an invoice or repayment request, or using another disclosed lawful method. A Payment Method is not authorized for recovery merely because it is stored or on file.
A Merchant must promptly pay a valid negative balance or other amount it owes. Youshare may restrict Merchant payment functionality or future Transfers while a valid amount due remains unpaid. Recovery rights do not apply to the extent an amount results from Youshare's own legally actionable conduct, a duty that law assigns directly to Youshare, or an amount law prohibits Youshare from recovering.
11. Payment Security, Verification, and Restrictions
You must use supported payment processes, protect payment and Account credentials, and comply with the Youshare Acceptable Use Policy, Youshare Merchant Terms, applicable Payment Processor requirements, and law. Do not submit complete payment credentials through an unsupported communication channel.
Youshare or a Payment Processor may require authentication, Verification, updated information, or other conditions reasonably related to payment eligibility, security, provider requirements, or legal compliance. Payment functionality may be declined, limited, suspended, or discontinued as permitted by applicable terms and law. Verification or prior availability is not an endorsement, permanent approval, or guarantee of continued eligibility.
No payment system prevents every error, unauthorized payment, fraud, interruption, or loss. Nothing in this Policy limits a security, privacy, notice, error-resolution, unauthorized-payment, billing-error, claims-and-defenses, chargeback, or electronic-transfer right or duty that cannot lawfully be waived.
The warranty disclaimers and liability limitations in the Youshare Terms apply to payment functionality. This Policy does not create a separate or cumulative liability cap or exclude a right, remedy, duty, or liability that applicable law does not permit the parties to exclude.
12. Privacy, Records, and Electronic Communications
Youshare Privacy governs Youshare's processing of Personal Information for payment functions. Payment Processors and other recipients may process information independently under their own notices and remain responsible for their own legal duties. This Policy does not expand Youshare's authority to process Personal Information.
Merchant record duties are governed by applicable law, provider terms, and the Youshare Merchant Terms. Youshare may retain payment and Transaction records as described in Youshare Privacy and applicable law.
Electronic disclosures, authorizations, receipts, records, and notices are governed by the Youshare Terms. Any separate consent, paper-copy, withdrawal, access, retainable-form, or delivery requirement imposed by law controls. You must maintain current contact information.
13. Account Closure, Availability, and Changes
Restriction, disconnection, suspension, or closure does not accelerate a Transfer or Payout, require release of an authorized hold or reserve, or eliminate a pending payment, refund, dispute, chargeback, tax, negative balance, repayment duty, or other obligation arising from prior activity.
Youshare may modify, replace, restrict, or discontinue payment functionality or update this Policy. An updated Policy will identify its effective date. Youshare will provide notice and obtain renewed acceptance when required by law or reasonably appropriate for a material change.
Changes apply prospectively. Accepted Orders generally remain governed by the terms and disclosures presented before submission unless applicable law requires a change, the original terms lawfully authorize the specific later action, or the affected parties validly agree. A change will not retroactively impose a new fee on a completed Transaction or eliminate a vested or mandatory right. Obligations concerning payments, Transfers, refunds, disputes, chargebacks, taxes, negative balances, records, and recovery survive to the extent applicable.
The governing-law and dispute provisions in the Youshare Terms apply to this Policy.
14. Relationship to Other Youshare Terms
Mandatory applicable law controls first. This Policy supplements the Youshare Terms and governs payment authorization, payment and payout functionality, Payment Processor involvement, Merchant Amounts, Transfers, holds, reserves, deductions, offsets, reversals, disputes, chargebacks, negative balances, and payment recovery within its stated scope. The Youshare Terms govern the Platform generally and continue to govern matters this Policy does not address.
The Youshare Merchant Terms govern Merchant responsibilities. The Youshare Refund Policy governs general refund, return, and cancellation eligibility. The Youshare Buyer and Seller Protection Policy governs any protection program within its stated scope. Youshare Privacy governs Youshare's processing of Personal Information. The Youshare Acceptable Use Policy governs prohibited Platform uses. Applicable Platform Component terms, Payment Processor terms, and Listing, checkout, fee, and Transaction disclosures govern the specific subjects they address, subject to the hierarchy in the Youshare Terms.
Subject to mandatory law and any Youshare Terms provision expressly stated to control Platform-wide, a more specific Youshare document controls only the subject it expressly addresses, and this Policy continues to govern other payment matters. Platform-wide Youshare documents control over inconsistent Platform Component terms, Transaction disclosures, Merchant policies, and private agreements unless the controlling Youshare document expressly permits otherwise.
No Merchant policy, private agreement, provider approval, Verification result, or user instruction may authorize prohibited activity, reduce a mandatory right, impose an unsupported obligation on Youshare, or override Youshare's applicable legal, privacy, safety, payment, Verification, Content, or enforcement requirements.
