Version: 1.0

This Youshare Privacy notice ("Privacy") explains how Youshare, Inc., doing business as Youshare ("Youshare," "we," "us," or "our"), collects, uses, discloses, retains, and otherwise processes Personal Information through the Platform.

"Personal Information" means information that identifies, relates to, describes, or can reasonably be linked with a person, household, Account, or device. It does not include information excluded by applicable law, such as qualifying aggregated or deidentified information. Capitalized terms not defined here have the meanings in the Youshare Terms.

See section 6. below to understand how we use Cookies.

1. Scope

This Privacy applies to Personal Information Youshare processes through the Platform and other Youshare-owned or operated services that link to or incorporate this Privacy. It applies when you visit or use the Platform, create or manage an Account, submit or interact with Content, communicate, use a Platform Component, complete Verification, participate in a Transaction, submit a lead or application, request support, or otherwise interact with Youshare. A supplemental privacy notice may govern a particular App, feature, or activity.

This Privacy does not govern third-party websites, independently provided Merchant services, Payment Processors, Integration providers, independently operated Platform Components, or other recipients when they independently determine how to process information. Their own notices govern that independent processing. Youshare remains responsible for its own processing and duties that applicable law places on Youshare.

If you submit Personal Information about another person, you are responsible for having authority to do so and for providing any notice or obtaining any permission required by law. A Merchant or Organization Account that receives or controls Personal Information remains responsible for its own lawful collection, use, security, retention, disclosures, and required notices.

2. Information We Collect

The information Youshare collects depends on the functions you use, your settings, your Account Type and activity, and the information you choose to provide. During the preceding 12 months, Youshare collected the following categories of Personal Information, depending on the functions used. Where applicable law requires a notice at or before collection, Youshare provides that notice at the collection point, including the required categories, purposes, sale or sharing status, retention information, and links or choices. That notice supplements this Privacy.

• Identifiers. Name, username, contact information, Account and device identifiers, login and authentication information, and organization or representative identifiers.

• Personal information described in California Civil Code section 1798.80(e). Name, contact information, address, age or date-of-birth information, organization and representative information, government identification submitted for Verification, and limited payment or financial details.

• Characteristics of protected classifications. Age information when provided or needed for Account, Content, Transaction, or feature eligibility.

• Commercial information. Listings, Offerings, leads, applications, purchases, contributions, subscriptions, bookings, Orders, Transactions, refunds, disputes, payment or Payout status, Merchant information, and related records.

• Internet or other electronic network activity. IP address, browser and device information, cookie or similar identifiers, pages and Content viewed, searches, clicks, interactions, referring information, session, diagnostic, and security data.

• Geolocation data. General location you provide and approximate location derived from an IP address or associated with Content, a Listing, delivery, service, or Transaction.

• Audio, electronic, visual, or similar information. Content, Files, images, video, messages, attachments, and associated metadata that you submit, send, store, or make available.

• Professional or employment-related information. Qualifications, licenses, work history, application materials, organization information, and similar information submitted for a Listing, application, Merchant activity, or Verification.

• Nonpublic education information. Education history, qualifications, application materials, and similar information submitted for a Listing, application, or Verification.

• Inferences. Interests, preferences, recommendations, likely general location, Account or Content relationships, and fraud, payment, or security risk derived from Platform activity.

• Sensitive Personal Information. Account credentials, government identification and Verification information, limited payment information Youshare receives from a Payment Processor, private communications, and other information treated as sensitive under applicable law when needed for the requested function.

Under California law, Personal Information of a consumer Youshare actually knows is under 16 is Sensitive Personal Information, except information excluded from that definition by law. Youshare applies the use and disclosure limits described in this Section to that information.

Payment Processors may collect complete payment-card, bank-account, identity, tax, payout, and risk information directly. Youshare may receive tokens, identifiers, status information, and limited payment or account details needed to provide or support the payment function.

Youshare does not collect every category from every person. Content or communications you choose to submit may contain additional information. Do not submit Personal Information that is unnecessary, that Youshare has not requested, or that you lack authority to provide.

Youshare uses and discloses Sensitive Personal Information only as reasonably necessary and proportionate to provide requested services, administer Accounts or Transactions, conduct Verification, process payments, maintain security, prevent fraud, comply with law, or perform another permitted purpose. Youshare does not use or disclose Sensitive Personal Information to infer characteristics or for purposes that currently require a separate right to limit under California law.

3. Sources of Information

Youshare obtains Personal Information:

• Directly from you, including through Accounts, Content, communications, Transactions, forms, Verification, support, and privacy requests.

• From other users, Merchants, Organization Accounts, administrators, Transaction participants, and people who communicate or interact with you.

• Automatically from your browser, device, cookies or similar technologies, and use of the Platform.

• From Payment Processors, Verification providers, authentication, security, fraud-prevention, fulfillment, communications, analytics, and other providers supporting the Platform.

• From Integrations and other services you connect or authorize.

• From public sources, rights owners, legal or governmental sources, and parties involved in a dispute, investigation, or corporate transaction.

• From information Youshare generates through Platform activity, such as records, analytics, classifications, recommendations, and security or fraud signals.

4. How We Use Information

Youshare may use Personal Information to:

• Provide and administer Youshare.com, Accounts, Platform Components, Content, Files, communications, search, discovery, settings, and requested functions.

• Display, distribute, organize, and promote public or publishable Content as authorized by the user and the Youshare Terms.

• Facilitate and support Listings, leads, applications, Transactions, and related payment, delivery, access, support, and dispute functions.

• Personalize requested Platform functions, search, feeds, recommendations, Content, Offerings, and advertisements using eligible Account, activity, preference, and inference information, but not private communications, Files, Verification information, payment credentials, or consumer health information.

• Authenticate Accounts, conduct Verification, maintain security, prevent fraud or abuse, enforce Youshare documents, and protect users, Youshare, and others.

• Provide support, respond to requests, administer reports and Resolution requests or tools, and communicate about Accounts, security, Transactions, legal matters, and Platform changes.

• Analyze performance, troubleshoot, measure use, and improve the Platform using appropriate usage, diagnostic, public, aggregated, or deidentified information.

• Send Youshare marketing and measure advertising or campaigns where permitted, subject to age-related limits and any required consent.

• Comply with legal, tax, accounting, payment, marketplace, privacy, safety, and other obligations, and establish, exercise, or defend legal rights.

• Evaluate or complete a financing, merger, acquisition, restructuring, bankruptcy, sale, or transfer involving Youshare.

Public or publishable Content may be used for search, feeds, previews, sharing, embeds, attribution, recommendations, and promotion as described in the Youshare Terms. Private or limited-access Content, communications, Files, and User Data are processed only as reasonably necessary to provide the requested function, deliver them to authorized recipients, complete Transactions, provide support, maintain security, enforce applicable rules, comply with law, or evaluate or complete an actual or proposed corporate transaction as described in Sections 4 and 5. Youshare does not use private communications as public promotional Content unless you direct or separately authorize that use.

Merchants may publish health-related Listings and independently provide the underlying services. Youshare is not intended for medical intake or clinical communications and does not request a consumer's diagnoses, symptoms, treatment information, prescriptions, insurance details, medical records, or similar clinical information through ordinary Platform functions. Youshare does not use Platform activity to infer health conditions or for health-based advertising.

Information associated with a person's search for, booking of, message about, or Transaction involving a health-related Offering may be subject to additional privacy notices and rights under applicable law.

5. How We Disclose Information

Youshare may disclose Personal Information to:

• The public and intended audiences. Information you make public may be visible to registered and unregistered users and may be indexed, copied, cached, downloaded, shared, or retained outside Youshare. Visible interactions may identify your Account to the audience indicated by the feature.

• Recipients you direct or authorize. Youshare may provide information to a person, Merchant, advertiser, Organization Account, Integration, Platform Component, or other recipient when you submit a lead or application, communicate, complete a Transaction, make information public, connect a service, grant permission, or otherwise direct the disclosure.

• Service providers and contractors. Providers may process information for hosting, storage, authentication, security, communications, payments, Verification, fulfillment, support, analytics, advertising delivery or measurement within Youshare, and professional services.

• Merchants and Transaction participants. A Merchant or other participant may receive information reasonably needed to respond to a request, administer an application, provide an Offering, fulfill an Order, support a customer, address a refund or dispute, or comply with law.

• Organization Account administrators. Authorized administrators may access information submitted to or managed through an Organization Account to the extent permitted by the relevant function, role, settings, and law.

• Independent providers. Payment Processors, Verification providers, Integration providers, and independently operated Platform Components may receive information needed for the service you request or authorize and may independently process it under their own notices.

• Legal, safety, and security recipients. Youshare may preserve, use, or disclose information when required or permitted by applicable law, legal process, or a legally recognized safety, security, fraud-prevention, rights-protection, or claims purpose.

• Corporate transaction recipients. Advisers, financing parties, buyers, successors, or other participants may receive information in connection with an actual or proposed corporate transaction, subject to applicable law.

Business-purpose disclosures. During the preceding 12 months, Youshare disclosed the following categories to service providers and contractors for the stated business purposes:

• Identifiers for Account administration, authentication, communications, support, payments, Verification, security, and legal compliance.

• Personal information described in California Civil Code section 1798.80(e) for Account and Transaction administration, communications, payments, Verification, support, security, and legal compliance.

• Characteristics of protected classifications for age or eligibility administration, Content controls, Verification, and legal compliance.

• Commercial information for Transactions, fulfillment, payment and refund support, customer support, fraud prevention, analytics, and legal compliance.

• Internet or other electronic network activity for Platform operation, analytics, personalization, advertising or campaign measurement within Youshare, security, and fraud prevention.

• Geolocation data for location-related functions, fulfillment, security, and fraud prevention.

• Audio, electronic, visual, or similar information for hosting, storage, delivery, communications, media processing, support, and security.

• Professional or employment-related information for applications, Merchant or organization functions, Verification, support, and legal compliance.

• Nonpublic education information for applications, Verification, support, and legal compliance.

• Inferences for personalization, recommendations, security, fraud prevention, advertising within Youshare, and measurement.

• Sensitive Personal Information for requested services, Account administration, Transactions, payments, Verification, security, fraud prevention, and legal compliance.

Youshare does not disclose every category to every recipient. Youshare limits a disclosure to the user-authorized scope or information reasonably related to the applicable purpose, as required by applicable law.

A recipient's own privacy notice governs its independent processing. Merchants and other independent recipients remain responsible for their own processing and legal duties.

6. Advertising, Cookies, and Marketing

Youshare and its providers use cookies and similar technologies for authentication, security, fraud prevention, preferences, Platform operation, analytics, personalization, marketing, advertising, and campaign measurement. Optional technologies operate according to applicable law and the Privacy Controls available for the applicable purpose.

During the preceding 12 months, Youshare shared, as “share” is defined by the California Consumer Privacy Act (CCPA), the following categories of Personal Information: identifiers, including IP addresses, cookie identifiers, device identifiers, and other online identifiers; and internet or other electronic network activity information, including browsing activity, interactions with Youshare, and interactions with advertisements. Youshare shared these categories with advertising networks, advertising technology providers, and analytics providers acting as third parties for cross-context behavioral advertising and related advertising measurement and attribution.

Youshare does not have actual knowledge that it sold or shared the Personal Information of consumers under 16 during the preceding 12 months. Youshare does not sell or share Personal Information of consumers it actually knows are under 16.

During the preceding 12 months, Youshare disclosed identifiers and internet or other electronic network activity information to analytics providers acting as service providers or contractors. These disclosures were made for business purposes, including measuring Platform use, evaluating performance, diagnosing errors, measuring conversions, preventing misuse, and improving Youshare.

You have the right to opt out of Youshare’s sale or sharing of Personal Information where applicable law provides that right, including sharing for cross-context behavioral advertising. You may use the "Your Privacy Choices" link or available Account privacy settings to submit that request and manage related consent choices. You do not need to create or sign into an Account to use the browser- or device-level Privacy Choices mechanism. Youshare processes Global Privacy Control and other legally recognized opt-out preference signals as requests to opt out of sale or sharing. A recognized signal applies to the browser or device and any associated profile and, when Youshare knows the consumer, to the consumer and the Account. Youshare does not require additional information when it can honor the request without it. Privacy Controls indicate when a request or recognized signal has been honored. The later absence of a recognized signal does not by itself reverse an Account-associated opt-out. A recognized signal is not a deletion request. Changes to Privacy Controls apply to affected future processing and do not automatically delete information previously collected. Other privacy rights are described in Section Privacy and Requests.

Blocking technologies needed for authentication, security, Platform operation, or a requested function may prevent that function from working. Youshare does not generally respond to a browser's general "Do Not Track" setting because no uniform standard governs it. You may unsubscribe from Youshare marketing emails through the link in the message. A marketing opt-out does not stop necessary Account, security, legal, support, payment, Verification, or Transaction communications.

7. Retention, Deletion, and Deidentified Information

Youshare retains Personal Information only for periods reasonably necessary and proportionate to the purposes described in this Privacy, subject to applicable law. Retention criteria include the information's nature and sensitivity, the Account or service relationship, the applicable function, user choices, Transaction and payment obligations, fraud and security needs, disputes and enforcement, legal and accounting duties, and lawful claims or preservation requirements.

In general:

• Account and Profile information may remain while the Account is active and for a reasonable period afterward for support, security, fraud prevention, enforcement, or legal compliance.

• Retention of Content, Files, and communications depends on the applicable function, user actions, authorized-recipient copies, public or external copies, Transactions, security needs, disputes, enforcement, backups, and applicable law.

• Order, Transaction, payment, tax, Merchant, and Verification records may remain for the periods needed to administer the activity, address fraud or disputes, satisfy accounting or legal obligations, and protect rights.

• Device, activity, cookie, diagnostic, support, report, and security information may remain for Platform operation, preferences, analytics, security, support, enforcement, and legal compliance.

Deletion from active systems may not immediately remove backup copies, legal holds, public copies, or information independently retained by authorized recipients. Account closure does not necessarily delete information retained for the purposes described above or information independently retained by authorized recipients.

When Youshare maintains information as deidentified under applicable law, Youshare will maintain it in deidentified form and will not attempt to reidentify it except as permitted by law.

8. Security

Youshare uses reasonable administrative, technical, and organizational safeguards designed to protect Personal Information. No online service, transmission, or storage system is completely secure.

You are responsible for protecting Account credentials and devices, limiting access to authorized people, using available privacy and security settings, reviewing information before making it public or sending it to another recipient, and promptly reporting suspected unauthorized access. Youshare will provide security-incident notice where applicable law requires.

9. Privacy Rights and Requests

Depending on your location and applicable law, you may have rights to:

• Confirm processing and obtain access to Personal Information.

• Learn the categories of information collected, sources, purposes, and recipient categories.

• Obtain a portable copy or, where required, a list of specific third parties that received Personal Information.

• Correct inaccurate Personal Information.

• Delete Personal Information.

• Withdraw consent or object to or restrict qualifying processing.

• Opt out of a qualifying sale, sharing, targeted-advertising, or profiling activity.

• Limit qualifying uses or disclosures of Sensitive Personal Information.

• Appeal a denied request and contact an applicable privacy regulator.

• Exercise privacy rights without unlawful discrimination or retaliation.

You may review or change certain information through available Account or Platform controls. Use the "Your Privacy Choices" link or available Account privacy settings for applicable consent and opt-out choices. To exercise another privacy right, you may submit a request without creating a new Account by emailing [email protected]. Identify the right you wish to exercise and provide information reasonably needed to locate the relevant records.

Youshare may request information reasonably necessary to verify a request, protect against unauthorized access, and comply with applicable law.

An authorized agent may submit a request through the same email address, identify that the request is made on another person's behalf, and provide signed permission or other proof of authority. Youshare may verify the person's identity and the agent's authority directly where applicable law permits. A valid power of attorney will be handled as applicable law requires. To appeal a denied request where applicable law provides an appeal, email the same address with "Privacy Appeal" in the subject line.

Youshare will respond within the period required by applicable law. If Youshare denies an appeal, it will explain the decision and provide a method to contact the applicable regulator where required by law. Rights remain subject to lawful exceptions, including security, fraud prevention, Transaction, recordkeeping, legal-compliance, rights-protection, and information concerning another person. A request does not require Youshare to retain information it would not otherwise retain or to disclose information that applicable law protects from disclosure.

10. Age Requirements and Minors

You must be at least 13 years old to create or use an Account. A person under 13 may not create or use an Account. Content labels for an audience under 13 describe the Content and do not change Account eligibility.

A person must be at least 18 years old and have contractual capacity to act as or for a Merchant, receive a Payout, submit an Order, or make a payment. Certain Content, Offerings, Verification processes, or other features may impose additional eligibility requirements.

If Youshare learns that it collected Personal Information online from a person under 13 in circumstances prohibited by applicable law, whether or not the person created an Account, Youshare will take the action applicable law requires. A parent, legal guardian, or other person who believes a child under 13 provided Personal Information may contact [email protected].

Youshare applies youth-privacy restrictions required by applicable law. Youshare does not perform processing that applicable law prohibits and obtains any legally required consent for additional processing. This does not create a general parent-or-guardian permission requirement for users ages 13 through 17.

A registered California user under 18 may request removal of public Content the user posted by using an available deletion control or emailing [email protected] with information reasonably sufficient to identify the Account and Content. Removal does not ensure complete or comprehensive erasure. Copies may remain with other users, in external search results or caches, in backups, or where retention is permitted or required by law.

11. International Processing

Youshare is based in the United States. Personal Information may be processed in the United States and in other countries where Youshare's providers or authorized recipients operate. Privacy laws in those locations may differ from the laws in your location. Mandatory local rights remain unaffected.

12. Changes to This Privacy

Youshare may update this Privacy prospectively to reflect changes in information practices or law. The updated version will identify its effective date or last-updated date. Youshare will provide any additional notice, choice, or authorization required by applicable law before a material change applies to previously collected Personal Information.

14. Relationship to Other Youshare Terms

Mandatory applicable law controls. This Privacy governs Youshare's processing of Personal Information. The Youshare Terms and other applicable Youshare documents govern Platform use, Content, Transactions, and other matters within their stated scope. A more specific Youshare privacy notice controls only the information practice it expressly addresses, and this Privacy continues to govern other Youshare processing. A Merchant's or external provider's notice governs that party's independent processing and does not replace this Privacy for Youshare's processing.
