Version: 1.0
This Youshare Refund Policy ("Refund Policy") governs general refund, return, cancellation, and related Resolution eligibility for supported Transactions and charges on the Platform provided by Youshare, Inc., doing business as Youshare ("Youshare"), and supplements the Youshare Terms. Acceptance and contractual effect are governed by the Youshare Terms and any notice presented for the applicable activity. Capitalized terms not defined here have the meanings in the Youshare Terms or, for payment terms, the Youshare Payments Policy.
1. Scope and Responsible Parties
This Refund Policy does not make every Transaction refundable. Eligibility depends on applicable law, the responsible party, the terms presented for the Transaction, the Merchant policy that applied when the Order was submitted, and other applicable Youshare or payment terms.
The Merchant remains responsible for its Offering, fulfillment, warranties, customer service, returns, cancellations, and Merchant-attributable refund obligations under applicable terms and law. The Youshare Payments Policy and applicable Transaction disclosures govern any Platform Charge and the parties' payment and refund roles. Youshare may administer a customer-facing payment or refund and remains responsible for a remedy arising from a service Youshare expressly provides, an express commitment Youshare makes, its legally actionable conduct, or a duty applicable law assigns directly to Youshare. Youshare's payment role does not transfer the Merchant's underlying obligations to Youshare.
A Payment Processor, Integration provider, or other external provider may administer a payment, delivery, subscription, or service under separate terms and deadlines. A Transaction completed outside supported Youshare Order or payment functionality may not qualify for a Youshare-facilitated Resolution.
2. Governing Refund Terms
Refund eligibility is governed by mandatory applicable law, this Refund Policy and other controlling Youshare documents, the Merchant policy and Transaction disclosures presented when the Order was submitted, and applicable Payment Method or provider rules, subject to the hierarchy in the Youshare Terms.
The lawful terms and disclosures applying when an Order was submitted generally govern that Order. A later policy or ordinary policy update may not retroactively reduce an existing right. A later change applies only when applicable law requires it, the original terms lawfully authorize the specific later action, or the affected parties validly agree. A Merchant may voluntarily provide a more favorable remedy.
3. Merchant Policies and Disclosures
A Merchant must clearly disclose before the Explorer submits an Order any refund, return, cancellation, exchange, or no-refund term that is material or required by law. This includes any material deadline, item-condition requirement, fee, return-shipping responsibility, cancellation restriction, or nonrefundable amount. The Merchant must honor the applicable policy and Transaction disclosures.
An "all sales final," "no returns," or "no refunds" term applies only if it was lawfully and clearly disclosed. A Merchant policy may not eliminate a mandatory consumer or payment right, excuse an unauthorized or duplicate charge, avoid an applicable warranty or safety obligation, permit material misrepresentation, impose an undisclosed fee, or allow payment to be retained when law requires a refund.
If a Merchant policy is missing, materially unclear, or conflicting, applicable law and controlling Youshare and Transaction terms continue to apply. The absence of a Merchant policy does not by itself establish that all sales are final or that every Transaction is refundable.
4. Refund and Cancellation Eligibility
Subject to the governing terms and applicable law, circumstances in which a refund, cancellation, or other remedy may be required or available include when the governing Merchant policy or Transaction terms provide it, the responsible seller or provider cancels or fails to provide the Offering as agreed, a charge is unauthorized, duplicate, or erroneous, the Offering materially fails to conform to an applicable description or warranty, or another applicable Youshare document provides a remedy.
A voluntary changed-mind return, user cancellation, or dissatisfaction alone does not automatically require a refund. Eligibility depends on the governing terms, the circumstances, and applicable law. A report, moderation action, or Account restriction does not independently establish refund eligibility.
Cancellation of a recurring arrangement ordinarily stops future renewal charges when the cancellation takes effect. It does not automatically refund an authorized current or prior billing period unless the governing terms or applicable law provide otherwise. A refund of one part of a Transaction does not automatically refund a separately disclosed and authorized charge for a distinct service that was provided.
5. Requests, Deadlines, and Cooperation
A refund request should be directed to the responsible Merchant or submitted through the Order page or other Resolution method Youshare makes available for the Transaction. The requester must follow the applicable method and deadline. A voluntary Platform or Merchant deadline does not shorten a nonwaivable statutory period, and a Youshare request does not extend a bank, Payment Processor, chargeback, or legal deadline.
The requester must provide truthful information and reasonably available records needed to identify the Transaction and support the requested remedy. The requester must follow lawful and reasonable return or cancellation instructions and may not seek duplicate recovery. A Merchant must reasonably cooperate with supported refunds and provide truthful, complete, and timely information reasonably relevant to its obligations.
Youshare may require Account authentication or other reasonable Verification. Failure to provide reasonably requested information or cooperation may affect a voluntary Merchant or Platform remedy, subject to applicable law.
6. Youshare-Facilitated Resolutions
Youshare may provide tools to request, document, facilitate, or administer a refund, cancellation, credit, or other Resolution. Unless Youshare expressly agrees or applicable law requires otherwise, Youshare is not required to offer or complete a Resolution for every Transaction.
Where the applicable terms authorize Youshare to act, Youshare may cancel a Transaction or administer an available remedy. Youshare may consider reasonably available Platform records, request relevant information, facilitate an outcome, refer the matter to the responsible party or Payment Processor, or close a request that is unsupported, incomplete, duplicative, abusive, fraudulent, untimely under the applicable voluntary process, or outside that process. A good-faith request is not abusive merely because it is denied or unsuccessful.
Youshare does not guarantee a particular outcome or completion time. A Platform decision governs only the remedy administered through that process and does not finally determine every contractual or legal right between the parties.
7. Remedies and Return Conditions
Depending on the governing terms and law, a remedy may be a full or partial monetary refund, cancellation, correction, replacement, another agreed or required remedy, or no refund. A credit or other nonmonetary remedy may be offered where lawful, but it may not replace a required monetary refund unless the affected person validly agrees and the substitution is lawful.
When a refund is conditioned on a return, cancellation of access, or cessation of use, the recipient must satisfy the lawful and reasonable condition. A refund may result in returned property, revoked access, cancellation of a license, or another reversal of the refunded benefit. Taxes, shipping charges, fees, and other amounts will be adjusted only as required by the governing terms and applicable law.
8. Refund Method and Timing
An approved monetary refund will ordinarily be submitted for return to the original payer through the original Payment Method and may not be redirected to another person. Another lawful method may be used when the Payment Processor or applicable law permits or requires it.
A required refund will be initiated within the period required by applicable law or the governing terms. A Payment Processor or financial institution may require additional time to post the refund after it is submitted. The Youshare Payments Policy governs payment mechanics.
9. Outside Payment Disputes and Duplicate Recovery
A chargeback, bank dispute, unauthorized-transfer claim, billing-error claim, or other outside payment process is separate from a Youshare Resolution and remains subject to the applicable provider's rules and deadlines. A Youshare process does not extend an outside deadline. Youshare may coordinate, pause, or close a related internal process as permitted by law to account for an outside dispute and prevent duplicate recovery.
An outside payment decision does not necessarily determine every right between the parties. No person may retain duplicate recovery for the same loss. Nothing in this Refund Policy limits a chargeback, billing-error, unauthorized-payment, electronic-transfer, warranty, cancellation, or other right that cannot lawfully be waived.
10. Merchant Responsibility and Youshare Recovery
A Merchant remains responsible for refunds and related amounts attributable to its Offering, conduct, obligations, or Merchant activity under applicable terms and law. A lack of Merchant funds does not eliminate the Merchant's obligation or any independent remedy Youshare is required to provide.
Youshare's recovery rights against a Merchant are separate from the customer-facing remedy and are governed by the Youshare Payments Policy, the Youshare Merchant Terms, any other applicable authorization, and law. Nothing in this Refund Policy authorizes charging a Payment Method merely because it is stored or on file.
Youshare is not required to pay from its own assets an obligation owed solely by a Merchant unless Youshare separately assumes that obligation or applicable law assigns responsibility directly to Youshare. This does not limit a right against the Merchant, Payment Processor, financial institution, or another responsible party.
11. Changes and Continuing Obligations
Youshare may update this Refund Policy prospectively. An updated version will identify its effective date, and Youshare will provide any notice or obtain any renewed acceptance required by law. An update will not retroactively eliminate a vested or mandatory right.
Account restriction, suspension, or closure does not eliminate a pending refund, return, payment dispute, Merchant obligation, or liability arising from prior activity. The governing-law and dispute provisions in the Youshare Terms apply to this Refund Policy.
12. Relationship to Other Youshare Terms
Mandatory applicable law controls first. This Refund Policy supplements the Youshare Terms and governs general refund, return, and cancellation eligibility and supported Resolution procedures within its stated scope. The Youshare Terms govern the Platform generally and continue to govern matters this Refund Policy does not address.
The Youshare Merchant Terms govern Merchant responsibilities. The Youshare Payments Policy governs payment authorization, payment mechanics, Payment Processor involvement, Transfers, deductions, offsets, reversals, chargebacks, negative balances, and recovery. The Youshare Buyer and Seller Protection Policy governs any protection program within its stated scope. Youshare Privacy governs Youshare's processing of personal information. The Youshare Acceptable Use Policy governs refund, dispute, and chargeback misuse. Applicable Platform Component terms and Listing, checkout, Merchant, and Transaction disclosures govern the specific subjects they address, subject to the hierarchy in the Youshare Terms.
Subject to mandatory law and any Youshare Terms provision expressly stated to control Platform-wide, a more specific Youshare document controls only the subject it expressly addresses, and this Refund Policy continues to govern other refund matters. Platform-wide Youshare documents control over inconsistent Platform Component terms, Transaction disclosures, Merchant policies, and private agreements unless the controlling Youshare document expressly permits otherwise. No Merchant policy, private agreement, provider rule, or user instruction may reduce a mandatory right, authorize prohibited activity, or impose an unsupported obligation on Youshare.
