Version: 1.0

These Youshare Merchant Terms ("Merchant Terms") supplement the Youshare Terms, govern you whenever your Account acts as a Merchant, and form a legally binding agreement between Youshare, Inc., doing business as Youshare ("Youshare," "we," "us," or "our"), and the person or organization accepting them for that Account ("Merchant," "you," or "your"). Acceptance and contractual effect are governed by the Youshare Terms and any notice presented for the applicable Merchant activity. If you accept for an organization, you represent that you have authority to bind it. Capitalized terms not defined here have the meanings in the Youshare Terms or, for payment terms, the Youshare Payments Policy. "Personal Information" has the meaning in Youshare Privacy.

1. Scope

These Merchant Terms apply whenever a Person Account or Organization Account acts as a Merchant or uses Merchant functionality. They apply even when the same Account acts as an Explorer in another activity. Explorer and Merchant are activity-based roles, not Account Types.

Additional terms may apply to a particular Platform Component, Offering, Listing, Transaction, payment function, location, or external service.

2. Eligibility, Authority, and Account Responsibility

Account eligibility is governed by the Youshare Terms. A person must be at least 18 years old, have contractual capacity, and satisfy the location, legal, Verification, payment, and provider requirements applicable to the activity to use Merchant functionality. An Organization Account must use Merchant functionality through an authorized representative who satisfies those requirements. You may not use another Account, identity, organization, representative, or payment account to evade a requirement.

You represent that you have authority to conduct the Merchant activity and accept these Merchant Terms. You are responsible for Merchant activity you conduct or authorize, and an organization is responsible for activity it authorizes through its Organization Account. You must keep permissions current, limit access to authorized people, protect Account and payment credentials, and promptly report suspected unauthorized access or misuse.

Youshare may approve, decline, condition, restrict, suspend, or withdraw Merchant functionality as permitted by the Youshare Terms, other applicable documents, provider requirements, and law. Onboarding, Verification, prior availability, or earlier inaction does not guarantee approval or continued access.

3. Merchant Information and Verification

You must provide truthful, complete, and current information and authentic, unaltered records reasonably required to establish identity, authority, ownership or control, contact information, Offerings, payment or tax status, qualifications, Merchant eligibility, Verification, Transactions, safety, fraud prevention, or legal compliance.

You must update material changes within the period required by law, an applicable provider, or a valid Youshare request. You must not conceal or misrepresent the Merchant, owner, controller, supplier, provider, beneficiary, payee, location, or other party materially responsible for an activity, or use your Account or payment functionality for an undisclosed Merchant.

Youshare, a Payment Processor, or another applicable provider may require initial or repeated Verification and reasonably related information. Information may be exchanged as described in Youshare Privacy and applicable provider terms, subject to any separate permission required by law. Verification is not an endorsement, warranty, permanent approval, or guarantee of identity, authority, legality, qualifications, safety, financial condition, or future conduct.

4. Marketplace Seller Requirements

If an applicable marketplace-seller law applies to you, including a law governing a qualifying high-volume third-party seller, you must timely provide, certify, and update the required identity, contact, payment-recipient, tax, business, and other information. Subject to Youshare Privacy, provider terms, and law, you authorize applicable providers to verify the information and Youshare to make legally required Merchant disclosures.

You must maintain working contact methods, respond to customer inquiries when required by law or as a condition of a lawful disclosure exception, and cooperate with any restriction, suspension, disclosure, or reporting action applicable law requires Youshare to take. Failure to provide, certify, update, or permit verification of required information may result in restriction or suspension. Nothing in this section transfers a duty that law assigns directly to Youshare.

5. Merchant Role and General Responsibilities

The Merchant provides and fulfills the underlying Offering, determines its price subject to applicable Platform requirements, and remains responsible for the Offering and the obligations stated in these Merchant Terms. The Youshare Payments Policy and applicable Transaction disclosures govern the parties' payment roles, including any Platform Charge.

Youshare does not acquire title to or possession of a Merchant Offering or undertake the Merchant's delivery, service, access, or other fulfillment obligation merely because Youshare provides Platform or payment functions.

You are responsible for your Merchant activity and the activity of people you authorize, including:

• Content, Listings, Offerings, claims, representations, and Merchant policies;

• authority, rights, permissions, licenses, registrations, qualifications, and insurance;

• legality, regulatory compliance, safety, condition, quality, authenticity, and availability;

• prices, Merchant charges, disclosures, promotions, subscriptions, and warranties;

• accepted Orders, access, scheduling, fulfillment, shipping, delivery, and performance;

• customer support, returns, refunds, cancellations, exchanges, and other customer obligations;

• taxes, records, customer information, communications, and required notices; and

• amounts attributable to your Merchant activity under applicable payment terms.

You must act lawfully and honestly, maintain the practical and legal ability to provide each Offering, and comply with all laws and provider requirements applicable to your Merchant activity. You must promptly notify Youshare of a material fraud, safety, recall, fulfillment, licensing, privacy, security, or legal issue affecting Platform users or Transactions, unless notice is prohibited by law.

Nothing in these Merchant Terms transfers a duty that applicable law assigns directly to Youshare. Youshare's review, support, Verification, approval, or failure to identify a problem does not relieve you of a Merchant obligation.

6. Listings, Prices, Disclosures, and Merchant Policies

You must have the rights, authority, inventory, access, and ability needed to offer and provide each Offering. Content and Listings must be lawful, accurately classified, and not materially misleading. Where material or required, a Listing or applicable pre-Transaction disclosure must accurately identify:

• the Merchant and the nature and material characteristics of the Offering;

• condition, quantity, availability, location, compatibility, eligibility, or material restrictions;

• the total price, including every mandatory Merchant fee or charge, and any tax, shipping charge, variable charge, or later charge that applicable law permits to be stated separately, including its amount or method of calculation;

• material warnings, risks, limitations, exclusions, and usage or license terms;

• the method and expected timing of shipping, delivery, access, scheduling, or performance;

• recurring-payment, renewal, trial, cancellation, return, refund, exchange, and Merchant-warranty terms; and

• any other information required by law or the applicable Youshare document.

You must have a reasonable basis and any legally required substantiation for material claims. You may not conceal a material defect, fee, risk, restriction, supplier arrangement, recurring obligation, or inability to perform, or continue accepting Orders when you know or reasonably should know you cannot fulfill them.

A Merchant policy may add lawful terms if it is clear and made available before the Explorer submits the Order. It may not conflict with applicable law, controlling Youshare documents, Payment Processor requirements, or Transaction disclosures, impose an obligation on Youshare, waive a nonwaivable right, or retroactively reduce a right applying to an existing Order. You must provide Youshare accurate, timely information needed to display or calculate the total price. Once an Order is accepted under the applicable Transaction workflow, you must honor the price and material terms presented before the Order was submitted, subject to applicable law and any lawful correction or cancellation right clearly disclosed before submission. A lawful Offering is not necessarily supported by Youshare or an external provider.

Before making a subscription, automatic renewal, trial conversion, recurring payment, or other negative-option arrangement available through the Platform, you must use supported Platform functionality and provide accurate, complete renewal, trial, price, cancellation, and other material terms needed for legally required disclosures. You must not cause enrollment or a charge without legally sufficient consent, must honor cancellation and refund obligations assigned to you, and must provide information and cooperation needed for required acknowledgments, reminders, and records. To the extent you independently control enrollment, billing, communications, or cancellation, you are responsible for satisfying the law applicable to that function. If the available functionality does not permit lawful operation, you may not offer the arrangement through it.

A person creating a fundraiser for another person or organization must have that party's permission and identify an authorized, eligible Merchant recipient. A fundraiser contribution may be refunded as the governing terms or applicable law permit or require, but may not be made in exchange for a promised Offering. Anything offered in exchange for payment must be processed separately as a purchase. Additional fundraiser terms may apply.

7. Orders, Fulfillment, and Customer Support

Order acceptance is determined under the Youshare Terms and the applicable Transaction workflow. You must fulfill each accepted Order according to the Listing, Merchant policy, Transaction disclosures, applicable Platform Component terms, Youshare documents governing that Order, and applicable law. You must provide accurate availability and fulfillment information, comply with represented dates, provide required instructions or warnings, honor Merchant warranties, and maintain reasonably appropriate customer support and a current supported contact method.

If you cannot ship, deliver, provide access, or perform as agreed, you must provide any legally required notice, revised date, consent request, cancellation option, refund, replacement, repair, rescheduling, or other remedy. You may not use false tracking or performance information, conceal a material delay, or substitute a materially different Offering without lawful authorization.

8. Safety and Legal Compliance

Each Offering must comply with applicable App-specific prohibited-products or prohibited-services rules, other applicable Youshare documents, provider requirements, and law. You are responsible for duties assigned to your actual role, including legally required testing, certification, labeling, warnings, instructions, inspections, licenses, insurance, records, and traceability.

You must stop or restrict affected activity when applicable law or applicable App-specific prohibited-products or prohibited-services rules require. An Offering subject to a recall may be offered only if every required corrective remedy has been completed and the sale is lawful.

If you learn of a material defect, hazard, recall, noncompliance, or other condition requiring action, you must promptly notify Youshare when Platform users or Transactions may be affected, unless law prohibits notice. You must make required reports and notices, preserve required records, cooperate with corrective action, and provide any required repair, replacement, return, refund, disposal, or other remedy. To the extent attributable to your Offering, conduct, or legal role and permitted by law, you are responsible for the cost of those corrective obligations.

Notice to Youshare does not replace or delay a notice, report, recall, or corrective duty owed to a regulator, manufacturer, supplier, customer, or other required recipient. Youshare may restrict affected activity as permitted by the Youshare Terms and law. That action does not transfer a Merchant duty to Youshare.

9. Customer Information and Communications

You may use Personal Information received through Youshare only as reasonably necessary and legally permitted to respond to the applicable request, administer a lead or application, complete or support a Transaction, provide the Offering or customer support, prevent fraud, address safety, or comply with law. You may not sell the information, share it for cross-context behavioral advertising, use it for unrelated marketing, profiling, or enrichment, or disclose it outside the applicable relationship except to a provider needed for an authorized purpose, at the affected person's direction, or as required by law. Youshare's permission does not substitute for a required notice, consent, or other lawful basis.

You must use reasonable safeguards, limit collection and access to authorized people, require providers to protect the information and use it only for authorized purposes, retain it only as long as reasonably necessary or legally required, and honor applicable correction, deletion, retention, and privacy-rights duties.

You are responsible for legal obligations applicable to your independent processing. To the extent you process Personal Information on Youshare's behalf, you must comply with the purposes, restrictions, protection requirements, and provider conditions in the applicable data-processing terms. You must promptly notify Youshare of suspected unauthorized access, use, or disclosure affecting Youshare-provided information or Platform users, or any material inability to comply with this section, unless law prohibits notice. Your notice to Youshare does not replace a notice owed to another person or authority.

Merchant communications must comply with applicable consent, sender-identification, marketing, recording, telephone, text-message, email, and unsubscribe requirements. Youshare Privacy governs Youshare's processing and does not replace your independent obligations.

10. Payments, Refunds, Taxes, and Merchant Amounts

The Youshare Payments Policy, applicable Transaction disclosures, and presented Payment Processor terms govern payment functionality. You must complete required payment onboarding, provide accurate information, comply with applicable provider terms, and maintain an eligible payment or payout arrangement where required. Approval or continued availability is not guaranteed.

You must promptly pay or reimburse fees, refunds, returns, reversals, disputes, chargebacks, provider assessments, taxes, negative balances, and other amounts arising from or allocated to your Merchant activity under applicable terms and law. You authorize Youshare to recover

Refund, return, and cancellation eligibility is governed by applicable law, the Youshare Refund Policy, the Merchant policy and Transaction disclosures presented when the Order was submitted, and applicable payment-method rules. You must honor your obligations and reasonably cooperate with supported refunds and disputes. A customer-facing right or remedy is separate from Youshare's recovery rights against the Merchant, and a Merchant's lack of available funds does not eliminate a right that applicable law or an applicable Youshare term requires Youshare to provide.

You must provide accurate, current tax information and forms and authorize Youshare and applicable Payment Processors to report, disclose, withhold, collect, and remit amounts as required by law. You are responsible for determining and satisfying tax duties not assigned directly to Youshare or a Payment Processor by law, maintaining required records, and promptly correcting inaccurate information. You must not separately collect a tax that Youshare identifies as collected for the same Transaction unless authorized. Nothing in these Merchant Terms transfers a tax, payment, refund, or consumer duty that law assigns directly to Youshare.

11. Records, Cooperation, and Merchant Actions

You must create, maintain, and retain records reasonably necessary to support your Merchant activity for the period required by law, applicable provider terms, an identified unresolved matter, or a lawful preservation obligation.

You must reasonably cooperate with a request authorized by applicable terms or law and provide relevant, reasonably available, nonprivileged information. You may not fabricate, alter, conceal, or destroy required information, submit false evidence, falsify fulfillment, obstruct a permitted review, or retaliate against a person for making a legally protected report or cooperating lawfully.

As permitted by the Youshare Terms and law, Youshare may require information, Verification, correction, disclosure, remediation, or cessation of affected activity and may take available action, including restricting Merchant functionality, Listings, Offerings, Transactions, or payment functions. Youshare may act without advance notice when reasonably necessary or legally permitted. Youshare will provide any notice or process applicable law requires and may otherwise offer notice, a response opportunity, or review. Youshare does not undertake to inspect every Merchant or Offering, and its action or inaction does not relieve you of an obligation.

Suspension, removal of Merchant functionality, or Account closure does not accelerate a Transfer or Payout or eliminate a pending Order, refund, payment, tax, data, recordkeeping, indemnification, repayment, or other obligation arising from prior activity.

12. Merchant Indemnification and Liability

The warranty disclaimers and liability limitations in the Youshare Terms apply to Merchant functionality. These Merchant Terms do not create a separate or cumulative liability cap and do not exclude a right, remedy, duty, or liability that law does not permit the parties to exclude.

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Youshare and its affiliates, owners, directors, officers, employees, agents, contractors, and service providers from third-party claims, liabilities, losses, damages, penalties, costs, and reasonable legal fees to the extent arising from your Content, Listings, Offerings, Merchant activity, breach of these Merchant Terms, violation of law or another party's rights, fulfillment or customer obligations, product or service safety, taxes, data processing, authorized representatives, or Merchant-attributable payment amounts.

To the maximum extent permitted by law, you must reimburse Youshare for reasonable, documented costs it incurs to perform a Merchant obligation you fail to perform or to address a Merchant-attributable safety, recall, data-security, fraud, tax, fulfillment, or legal-compliance issue. This does not require reimbursement for Youshare's own legally actionable conduct, a nontransferable statutory duty, or an amount law prohibits Youshare from recovering.

This obligation applies only to the extent attributable to your conduct or responsibility and does not require indemnification for Youshare's own legally actionable conduct, a nontransferable statutory duty, or circumstances where indemnification is prohibited. Youshare will provide reasonable notice where practicable, may control the defense, and may require reasonable cooperation. You may not settle in a way that admits liability by or on behalf of Youshare, imposes an obligation on Youshare, or restricts Youshare without Youshare's written approval.

13. Changes and Survival

Youshare may update these Merchant Terms prospectively. An updated version will identify its effective date. Youshare will provide notice or obtain renewed acceptance when required by law and may otherwise provide additional notice. An accepted Order generally remains subject to the terms and disclosures presented before it was submitted unless applicable law requires a change, the original terms lawfully authorize the specific later action, or the affected parties validly agree.

If you do not agree to an update, you must stop future use of Merchant functionality, subject to obligations from prior activity. Provisions that by their nature should survive restriction, suspension, closure, or termination will survive, including provisions concerning Transactions, payments, taxes, refunds, customer information, records, rights, indemnification, liability, disputes, and unresolved obligations.

The governing-law and dispute provisions in the Youshare Terms apply to these Merchant Terms.

14. Relationship to Other Youshare Terms

Mandatory applicable law controls first. The Youshare Terms govern the contractual relationship and the Platform generally. These Merchant Terms govern Merchant eligibility, Merchant information, Listings, Offerings, fulfillment, customer support, customer information, records, and Merchant-specific responsibilities.

The Youshare Payments Policy governs payment functionality and payment mechanics. The Youshare Refund Policy governs general refund, return, and cancellation eligibility and related procedures. The Youshare Buyer and Seller Protection Policy governs any buyer or seller protection program within its stated scope. Youshare Privacy governs Youshare's processing of Personal Information. The Youshare Acceptable Use Policy governs prohibited Platform uses. Youshare Guidelines govern Content and conduct. Youshare Ratings governs Content classifications and labels. Applicable App-specific prohibited-products or prohibited-services rules govern Offering eligibility within their stated scope. Applicable Platform Component terms and Listing, checkout, and Transaction disclosures govern the specific subjects they address.

For an accepted Order, the Listing, checkout, and Transaction disclosures presented before it was submitted govern their stated subjects, subject to mandatory law and the Youshare documents incorporated at that time. A later Merchant policy or ordinary policy update may not retroactively reduce the applicable rights except as the Youshare Terms permit.

Subject to mandatory law and any Youshare Terms provision expressly stated to control Platform-wide, a more specific Youshare document controls only the subject it expressly addresses, and these Merchant Terms continue to govern other Merchant matters. Platform-wide Youshare documents control over inconsistent Platform Component terms, Transaction disclosures, Merchant policies, and private agreements unless the controlling Youshare document expressly permits otherwise.

No Merchant policy, Listing term, private agreement, external-provider approval, Verification result, or user instruction may authorize prohibited activity, reduce a mandatory right, impose an unsupported obligation on Youshare, or override Youshare's legal, privacy, safety, payment, Verification, Content, or enforcement requirements. Applicable law controls wherever a provision cannot lawfully apply.
